Margaret He is an experienced fund formation lawyer and a counsel in Orrick's fund formation practice and a member of the firm's Technology Companies Group.
Margaret advises on all aspects of legal matters relating to the formation, organization and operation of venture capital funds, private equity funds, hedge funds, accelerators and incubators, and fund-of-funds, representing both fund sponsors and investors.
She advises investment funds and startup companies regarding their regulatory obligations, including relevant exclusions and exemptions, under the Securities Act, Securities Exchange Act, Investment Advisers Act and Investment Company Act.
She has also represented startup and emerging growth companies at all stages of development and private funds in financing transactions.
Prior to joining Orrick, Margaret was a senior counsel in the Fund Services Group of Wilson Sonsini Goodrich & Rosati, P.C. Earlier in her career, she was an associate in the Venture Capital practice group of Cooley LLP. Previously, she worked as an associate in the Beijing office of Jun He Law Offices, where her practice focused on mergers and acquisitions and capital market transactions. She also served as a legal consultant in the Legal Affairs Department of the Beijing Organizing Committee for the XXIX Olympiad Games in Beijing, China.
