Orrick Is Advising Invisio on Its Acquisition of Racal Acoustics

Orrick is representing Invisio AB in connection with its recently announced agreement to acquire Racal Acoustics, the UK-based world leading designer and manufacturer of audio communications and protection systems for high noise environments, from Transdigm Group, Inc (NYSE: TDG).
 
Racal Acoustics designs, develops and manufactures communication and hearing protection systems, focused on audio ancillary equipment for the military, paramilitary, first responder, aviation and industrial sectors with a global footprint, including in the U.S. through its U.S.-based sales company, Racal Acoustics, Inc, which is also being acquired as part of the transaction.
 
The acquisition, which is expected to close during the first quarter of 2021, is subject to regulatory approvals and customary closing conditions.
 
Invisio develops and sells advanced communication systems that enable professionals in noisy and mission critical environments to communicate, protect their hearing and work effectively. The company combines specialist knowledge in acoustics and hearing with broad engineering know-how in software, materials technology and integration. Headquartered in Copenhagen, Invisio has sales offices in the U.S., France and Italy, as well as a global network of partners. Invisio’s registered office is in Stockholm, Sweden and it shares are admitted to trading on Nasdaq Stockholm (Ticker: IVSO).
