Orrick advised client Planet Labs Inc. on an agreement to acquire Terra Bella Technologies (formerly known as SkySat) of Google. The terms of the deal were undisclosed and the transaction is subject to the customary regulatory approval.
Google, meanwhile, will enter into a multi-year contract to purchase Earth-imaging data from Planet upon closing of the deal. Planet is an earth-imaging satellite startup based in San Francisco.
“I can speak for everyone at Planet when I say that we’re incredibly excited about this opportunity,” Planet CEO Will Marshall said in a statement.
Orrick partner Ed Batts, co-head of the firm’s M&A and private equity group, led a multi-practice team advising Planet. The team included partners Chuck Walker, Pete Lamb and Daniel Kim, and associates Daniel Lopez, Davis Doherty, Stephanie Richards and Conner Pine from our corporate practice; Partner Daniel Yost and associates Vineeth Narayanan and Tim Greene from our Intellectual Property group; Partner Eric Wall and associate Mike Rodgers from our tax group; Partner Harry Clark and associate Greg Hume from our regulatory group. Partners Dolph Hellman, Jim Tierney, Christine McCarthy and Of Counsel Pat Zeigler also assisted on the deal.
