Orrick Advises Microsoft in its Acquisition of Solair srl

Orrick represented Microsoft Corporation in its acquisition of Solair srl, an innovative Internet of Things (IoT) software startup based in Bologna, Italy. Microsoft plans to integrate Solair’s technology into its Microsoft Azure IoT suite.

In a deal showcasing Orrick’s cross-border capabilities, a team of attorneys and staff in the firm’s Milan, Rome, Seattle and San Francisco offices worked on the transaction.

Orrick’s Italian team was led by Alessandro De Nicola, partner in charge of the firm’s Corporate Group in Italy, with assistance by special counsel Laura Cappiello. In addition, Andrea Piermartini Rosi, Alessia Ciranna and Concetta Pia Dell’Aquila handled Italian labor matters, while Alessandro Mainardi and Giovanni Leoni oversaw Italian tax aspects, and Professor Michele Bertani managed all aspects of Italian IP. 

Orrick’s US-based team included Sam Z. Haviland, Richard Vernon Smith, Scott Pearsall, Dan Yost, Vineeth Narayanan, Steve Malvey, Nancy Chen and Mike Yang.
