Pactera Technology to be Taken Private by Blackstone-Led Consortium


​Orrick is advising NASDAQ-listed Pactera Technology International Ltd. (“Pactera”), a global consulting and technology services provider headquartered in China, in its $625 million acquisition by a consortium led by Blackstone Group L.P.

Upon completion of the acquisition, the shareholders of Pactera will receive $7.30 per common share. Immediately following completion of the transaction, Pactera will be owned by Blackstone, certain members of Pactera’s management comprising of Chris Chen, Pactera’s non-executive chairman and Tiak Koon Loh, Pactera’s chief executive officer and several other senior managers, as well as GGV Capital and its affiliates.

The transaction is subject to various closing conditions, including a provision that the agreement be approved by an affirmative vote of shareholders representing two-thirds or more of the shares.

A cross-border team led by Shanghai capital markets partner Jeffrey Sun and San Francisco mergers and acquisitions and private equity partner Richard Vernon Smith is advising Pactera on the transaction. In 2012, Orrick advised VanceInfo Technologies Inc. in its $875 million merger with hiSoft Technology International that created Pactera.
