Orrick’s Richard Vernon Smith has co-authored an article in Forbes, along with Richard D. Harroch and David A. Lipkin, entitled “18 Key Issues In Negotiating Merger and Acquisition Agreements for Technology Companies.” The article provides insights into the legal issues sellers and their investors confront in the sale of a U.S. privately-held technology company. The authors discuss a number of the hotly contested key issues in acquisitions, such as price, escrow, representations and warranties, pre-closing covenants and indemnification provisions.
