Solar Development
We provide counsel on greenfield project development and transaction structures, including on power purchase agreements, permitting, EPC, site arrangements, module warranties and other key solar development matters. We continue to be at the forefront of development activity for our clients, including helping them bid on many thousands of megawatts of new solar projects. Throughout our offices, our lawyers also represent leading developers on synthetic/virtual corporate PPAs, military projects, solar hedges, transmission and interconnection, and all other aspects of project development.
Solar M&A
We represent many of the most prominent solar industry participants in the world on their most important M&A transactions involving solar projects and companies, including Sharp’s acquisition of Recurrent and TerraForm’s acquisition of First Wind.
Solar Finance
We’ve assisted clients in financing billions of dollars of solar projects involving all types of debt (including bridge, construction, term conversion, long term, letter of credit facility and back-leverage financing), equity (including all varieties of tax equity and cash equity) financing and lease transactions.

Sharp Electronics Corporation in the $265 million sale of its subsidiary Recurrent Energy, a solar project development and generating company, to Canadian Solar Inc.
BlackRock in the acquisition of Grange Farm solar project in the U.K. from SPI China (HK), Limited, a subsidiary of Solar Power Inc.
Eurus Energy on the $71 million construction and term loan financing for its 27.6 MW (AC) Waianae solar project in Oahu, Hawaii.
China Development Bank on the project financing of over 400 MW of utility-scale solar projects in Italy, Romania, Bulgaria and Greece.
Grupo ACS as the EPC contractor and approximately 36 percent equity owner of the 110 MW Crescent Dunes solar project in Nevada.
GE Energy Financial Services in a joint venture equity investment into the 231.44 MW Setouchi Solar Project, which will be the largest PV solar project in Japan when it launches in 2019. The project is the centerpiece of the energy strategy adopted by the Japanese government in the aftermath of the Fukushima Daiichi nuclear disaster.
