Grace is a member of the Energy & Infrastructure group.

Grace counsels energy clients on a wide range of transactions in the energy industry with a particular focus on renewable energy matters. Grace regularly advises clients on project development matters, including power purchase agreements and other long-term offtake agreements, physical and financial swaps, engineering, procurement and construction contracts, equipment supply and warranty agreements, and operation and maintenance agreements, as well as mergers and acquisitions involving energy companies and assets.

    M&A

    • a U.S. energy company in the sale of two wind power generation facilities in Minnesota.

    • an energy-focused private equity firm in the sale of a 625 MW, state-of-the-art combined cycle power plant in Arizona.

    • a utility in the acquisition of three projects across the Midwestern United States.

    • a developer in the acquisition of a 305 MW wind power generation facility in Texas.

    • an international oil and gas company in a $339 million acquisition of deepwater U.S. Gulf of Mexico assets from Cobalt International Energy and related joint venture and development arrangements.

    • a terminal, storage, and transportation company in a $275 million acquisition of two large-scale refined products and crude oil terminals in California. 

    Development

    • various developers in power purchase and other long-term offtake agreements, including physically and financially settled transactions, with both utility and corporate offtakers for projects across the United States with a combined capacity of 1.4 GW.

    • an international commodity trading company as the purchaser under a power purchase agreement for 159 MW of a solar project in Texas.

    • an independent power producer in the construction and development of two wind generation facilities in Texas.

    • a utility in construction and development of eight projects across the Midwestern United States.
