Marissa's practice focuses on energy transactions, project finance and development, and debt and acquisition finance, particularly for renewable projects.

Her experience includes representing borrowers, sponsors, investors and lenders in a variety of financing and equity arrangements, including project and portfolio M&A, development financing, equity investments, joint ventures and energy hedges in connection with wind, solar and other alternative energy and infrastructure projects. Her experience includes a variety of financing and equity arrangements at all stages of an energy project's life-cycle, including back-leverage facilities.

Prior to joining Orrick, Marissa practiced at top-ranked global law firms, also focusing on project finance and energy transactions.

    • A sponsor/developer in connection with construction-to-term loan financings for two individual 50 MW battery energy storage projects in California.
    • A sponsor/developer in connection with a TopCo / corporate level financing.
    • A leading financial institution in connection with a workout agreement related to an energy hedge for a wind project.
    • A leading financial institution in connection with an energy hedge in respect of a solar project.
    • Leading private investment house Ardian in connection with a bridge loan/acquisition financing for its parking concessionaire acquisition at The Ohio State University.
    • A sponsor/developer in connection with a corporate line of credit.
    • A sponsor/developer in connection with a term loan financing of a 275 MWh battery energy storage project in California.
    • A sponsor/developer in connection with a term loan financing for construction and operation of geothermal power generation facilities.
    • A sponsor/issuer in connection with a 4(a)(2) note offering for a combined-cycle natural-gas powered electrical generating facility.
    • A sponsor/developer in connection with a working capital facility for construction and operation of power facilities.
    • A borrower in connection with an ATVM loan for battery cell manufacturing facilities.
