Craig Shepard is a Managing Associate in Orrick’s Technology Companies Group.

Craig advises technology companies of all sizes from start-ups to public companies on corporate matters including formations, corporate governance, equity and debt financings, and mergers and acquisitions. He represents clients in a variety of industries including software, medical devices, pharmaceuticals, fintech, fashion, media, entertainment, real estate, and renewable energy. He further provides support and advice concerning intellectual property licensing, data privacy, employment matters, distribution arrangements, and joint ventures. He also advises investors and venture capital firms in their investments in early and high growth technology companies. 

Craig has experience working in-house in several companies in the software, consumer goods, and technology metals industries. He leverages that experience to understand the business needs of his clients and to come up with creative solutions to their legal challenges. While in law school he served as editor-in-chief of the Boston College Intellectual Property and Technology Forum journal. He was also a student advisor for the Eagle Venture and Start-Up Center.  In addition to his law degree he holds an M.B.A. from Boston College, Carroll School of Management.

  • Equity and Debt Financing

    • Represented a cannabis company in their Series A and B financing for a cultivation and processing plant.
    • Represented a company in the hospitality and camping space in their private financing of certain real estate.
    • Represented a healthcare software technology company in their Series Seed financing.
    • Represented an asset management firm in their Series A and Series B rounds.
    • Represented a global private equity firm as lender and tax equity investor to a solar developer for 32 projects totaling 192 MW located in North Carolina and Oregon. Conducted all due diligence related to the combined collateral package including corporate, real estate, permitting, and environmental due diligence.
    • Acted as local counsel to a multinational bank in connection to its loan to a global investment and technology firm related to credit facilities in several energy portfolios across the United States totaling 350 MW.
    • Represented a cosmetics company in their debt financing with several large international banks.

    Mergers and Acquisitions

    • Represented a life sciences technology company in their over $100 million financing and merger with a SPAC.
    • Represented Balchem Corporation (NASDAQ: BCPC) in its $52 million acquisition of a privately held company that specializes in developing, marketing, and manufacturing products for the food and beverage industry.
    • Represented an HVAC equipment and controls company in their sale of their west-coast subsidiary and later merger with HTS New England to become the largest independent HVAC solutions provider in New England.
    • Represented a solar developer in the acquisition and financing of 19 projects totaling 32 MW located in Massachusetts.
    • Represented one of the world’s largest suppliers of technology metals in the sale of its lithium and tantalum mines in Australia. Negotiated mineral rights agreements, royalty deeds, and managed overall due diligence.

    Intellectual Property and Licensing

    • Counseled an apparel technology startup regarding their formation, series seed financing, and data issues.
    • Represented a life sciences SaaS company regarding licensing and privacy policies.
    • Counseled a software company concerning copyright and open source software issues.
    • Represented an E-Sports team in certain co-marketing and licensing agreements with various digital brands.
    • Represented a bio-tech start-up company regarding their joint ventures with two large pharmaceutical companies.

    Other

    • Counseled an apparel technology startup regarding their formation, series seed financing, and data issues.
    • Represented a technology company in their conversion to an Up-C structure in preparation for their IPO.
    • Represented a music technology startup in their negotiations involving a shareholders’ agreement.
    • Represented a life sciences company regarding negotiation of a series of supply agreements.
    • Represented a global outdoor apparel company in the negotiations of a number of leases with shopping malls in New Hampshire and New York.
    • Represented a medical physicians group regarding the acquisition of a license from the Massachusetts Department of Public Health to operate certain laboratories and clinics.
    • Represented a not-for-profit investment fund in the energy financing space concerning power purchase agreement (PPA) licensing and solar tax credit issues in various jurisdictions.
