Andrea’s practice focuses on project development and commercial corporate transactions in the energy industry, primarily in the renewable power sector.

Andrea has experience representing a broad range of clients through project development, acquisitions and divestitures, and joint ventures, including through the negotiation and drafting of purchase and sale agreements, membership interest purchase agreements, module supply agreements, shared facilities agreements, cash equity financings, and corporate governance arrangements.

Andrea also has extensive experience with power purchase agreements (PPAs) and other long-term offtake agreements (including fixed volume hedges), having represented project developers, corporate and industrial clients and utilities in securing busbar and hedge-based PPAs. Andrea has represented clients on hedge-based PPAs, settled physically and financially, based on proxy generation as well as actual generation in PJM, CAISO, Midcontinent ISO and ERCOT. She has worked with both ISDA and EEl forms and has aided clients in developing innovative arrangements to meet their offtake needs. Andrea’s transactions involve wind energy facilities, solar energy facilities, natural gas-fired peaking and combined-cycle power plants, natural gas processing plants and pipelines.

    • Represented Microsoft in the negotiation and drafting of proxy generation power purchase agreements with Engie for the Longdraw solar and Anson wind farms in Texas.
    • Represented RES Americas through the negotiation and drafting of a power purchase agreement for the sale of power from the Reading Wind Facility, including the validation of the project as a carbon offset project under the Verified Carbon Standard.
    • Represented NOVA Chemicals in the $2.1 billion acquisition of an operating interest in an olefins plant in Louisiana and a leasehold interest in related gas storage facilities in Texas.
    • Represented Sempra U.S. Gas & Power in the acquisition of a 100 MW wind farm located in Michigan, including drafting and negotiating a membership interest purchase agreement.
    • Represented a Norway-based oil and gas company in a $407 million disposition of Marcellus shale assets.
    • Represented a Norway-based oil and gas company in an acquisition of Eagle Ford shale assets and related joint venture and development arrangements.
