Orrick’s Emerging Markets Group participates in some of the most interesting and innovative deals across the world’s emerging and frontier markets. Our experience spans Africa, Central and Eastern Europe, Russia and the CIS, China and Southeast Asia, South Asia, Latin America, the Middle East and Central Asia.

Our expertise in the structuring and execution of novel and complex transactions is paired with our extensive knowledge and experience of legal issues unique to emerging and frontier markets. Our emerging markets capabilities and expertise are recognized across all major asset classes, with a particular emphasis on advising emerging market private equity and venture funds on in-bound investment transactions, strategic investors on emerging market M&A transactions, sponsors and lenders on project financing transactions, and emerging market-based issuers and underwriters in capital markets transactions.

The industry sectors in which we have considerable depth in emerging markets include energy (oil and gas and electricity, as well as renewable energy), infrastructure, mobile telecommunications, technology, mining, transportation, real estate, fund formation, microfinance and impact investing. We also have extensive experience representing investors in arbitration and litigation proceedings arising from emerging market transactions, including dealing with efforts by local partners to steal assets or push out foreign investors, expropriation by governments and the revocation of licenses and concession agreements.

    • Local Laws. In-depth understanding of local laws and business practices affecting the rights of investors, creditors and issuers. Emerging Markets Group practice leader Peter O’Driscoll sits on the Legal & Regulatory Council of the Emerging Markets Private Equity Association (EMPEA) and, as a member of the drafting committee, played an important role in developing the EMPEA Guidelines.
    • Documentation. Extensive experience in drafting the full range of documents necessary to implement the structures used in emerging market transactions.
    • Security and Ownership Issues. Deep experience in negotiating security packages and ownership structures designed to achieve the maximum protection for lenders and investors in emerging markets.
    • Relationships. Working relationships with decision-makers in key emerging markets – at the investor, government, company and NGO level, as well as with senior bankers at multilaterals and other leading financial institutions active in emerging markets.
