Marco Dell'Antonia is a partner in the M&A and Private Equity Department of Orrick. Marco Dell'Antonia has more than 20 years' experience in extraordinary transactions, both Italian and international, characterized by specific complexities.
He advises leading industrial companies, private equity funds and financial institutions in M&A transactions (including acquisitions, mergers, demergers and restructuring of groups of companies). He assists shareholders of either listed and not listed companies in extraordinary M&A transactions (both domestic and international): negotiating and drafting letters of intent, coordinating due diligence teams, negotiating and drafting sale and purchase agreements, negotiating and drafting investment agreements in private equity and venture capital transactions, negotiating and drafting shareholders' agreements.
His specific experience in M&A and in the structuring and negotiation of shareholders' agreements has enabled Marco Dell'Antonia to acquire an in-depth knowledge of corporate governance and compliance issues. In particular, he assists on a continuative basis Boards of Directors in the area of corporate governance and compliance issues (including regulatory issues), providing assistance and advice on the management of the most delicate issues related to systems of proxies and delegation of powers, structuring and designing those systems, coordinating board committees, implementing corporate governance codes in listed companies, as well as assisting the companies in issues related to systems of proxies and delegation and sub-delegations concerning health and safety at workplace.
With regard to compliance, Marco Dell'Antonia is recognized by the market as a professional expert in criminal liability of the companies arising from offences committed in the interest or to the advantage of the legal entities pursuant to Legislative Decree 231/2001. In this regard, in addition to being a member of the Board of Directors of the AODV231 Association, he holds the position of Chairman of the Vigilance Body of many companies (including listed or regulated ones).
His experience also relates to the negotiation and drafting of commercial contracts with specific reference to international contracts. These include international sale and purchase agreements, business leases, supply contract, distribution agreements, agency agreements, sales concession agreements, franchise agreements and licensing agreements.
Marco is a regular contributor to Il Sole 24 Ore, both in writing articles for the newspaper and for the law magazines published by Il Sole 24 Ore.
Marco is also a regular speaker at conferences and master's degrees classes in his fields of expertise.
He has carried out teaching assignments in some Italian universities such as L. Bocconi University (Milan) (Faculty of Law - Teaching Assistant of the Civil Law course - International Contracts and Joint Ventures), LUISS (Rome) (Master in Corporate Law - National and International Perspectives, organized by LUISS Business School), MIB - School of Management (Trieste) (MBA master), IULM (Milan) (Protection of Competition and Distribution Contracts).
