Emanuela Molinaro is a partner at Orrick, based in the Milan office and member of the Real Estate group within the Finance team.
With a solid corporate background, she has advised on real estate aspects of a wide range of corporate transactions and has also gained significant experience in the area of real estate transactions and construction law, having assisted domestic and international investors in connection with various property and property-development transactions in Italy, including the disposal of complex real estate portfolios, sale and lease-back transactions, land acquisition and building redevelopment.
Emanuela is ranked in Chambers & Partners since many years in Band 3 for Real Estate with the comment: 'Emanuela Molinaro is widely appreciated for her "practical solutions." She acts for both domestic and international clients on the full spectrum of real estate issues.'
She has also a considerable experience in advising on a wide range of corporate transactions also with an emphasis on mergers and acquisitions, private equity, corporate finance transactions and on-going assistance to corporate clients as well as financial institutions.

Felix Schäfer verfügt über besondere Erfahrung in den Bereichen Infrastruktur und Logistik, in welchen er sich auf Immobiliontransaktionen, die Strukturierung von Immobilioninvestments, Fondsberatung und Private Equity sowie die Restrukturierung von Immobilienfinanzierungen konzentriert. Darüber hinaus berät er bei einer Reihe von diversen Großprojektentwicklungen sowie (Portfolio-) Transaktionen für deutsche und internationale Mandanten.
Felix Schäfer studierte und absolvierte seine Promotion an der Universität Köln. Er wird vom JUVE Handbuch Deutscher Kanzleien als „häufig empfohlen" in dem Fachbereich Immobilien bezeichnet und ist Mitglied der Royal Institution of Chartered Surveyors.
Marshall Brozost is a Real Estate lawyer in Orrick’s New York office and serves as head of the New York Real Estate Group.
He focuses on complex real estate transactions on behalf of institutional and private equity investors. In addition, his practice encompasses all aspects of commercial real estate investment, from purchases and sales, formation of joint ventures and real estate funds to mortgage and mezzanine financing, REIT structuring, workouts and leasing. His clients include State Street Global Advisors, Phoenix Realty Group, Arel Capital and The Praedium Group, as well as other real estate private equity funds, investment advisers, domestic and foreign institutional investors, lenders and developers. He also advises on CMBS and merger and acquisition transactions.
Marshall is described by a client as “particularly knowledgeable, a great negotiator, excellent problem solver, and quick to turn documents all while maintaining a demeanor that is tough when it needs to be and pleasant when tough is not necessary.” Another remarked that his “humility in tandem with his calming yet commanding style enabled every interaction with a sometimes combative seller counsel to have a positive result.” Marshall has been recognized as a key lawyer in The Legal 500 US 2020-2021 Real Estate directories.
Marshall previously was a partner at Schulte Roth & Zabel LLP and Dewey & LeBoeuf LLP.
Carine Mou Si Yan is a partner in the Banking and Finance practice group. For over fifteen years, she has advised French and international clients in the finance, energy and real estate sectors.
Admitted in both Paris and New York, Carine offers practical advice on both cross-border and French transactions.
She advises sponsors, lenders and public entities on their financing transactions. She is particularly active in projects involving the development of new energies and infrastructure.
She also advises on real estate financings across virtually all asset classes, including housing, hospitality, office, commercial, data centers, sports and health care facilities.
In addition, Carine has deep experience in restructurings, advising both creditors and debtors in sectors such as real estate, hospitality, transportation, energy and power distribution, and retail.
In the 2020 Legal 500 EMEA guide, a client noted that Carine is "very thorough and competent when dealing with complex files."
Patrick Tardivy, a corporate partner in the Paris office and the Paris Office Leader, co-leads our global M&A and Private Equity practice group.
Patrick advises French and international clients on all aspects of corporate law. He mainly intervenes on M&A and Private Equity matters as well as joint-ventures. He specializes in the sectors of aerospace and defense, as well as energy and infrastructures, and real estate investments. He also has experience in investments in Francophone Africa.
According to Legal 500 EMEA, clients praise Patrick for his “excellent business acumen to match in-depth legal experience”.
Before joining Orrick in 2016, Patrick was a partner at Freshfields Bruckhaus Deringer.
