William “Bill” Parish, Jr. counsels clients on complex business transactions, including mergers and acquisitions, private equity investments, partnerships and joint ventures, energy transactions and projects, real estate and general corporate matters.

Bill serves a range of clients from family-owned businesses to exchange-listed companies and multinational corporations, as well as private equity and venture capital firms, family offices and high net-worth individuals, and institutional investors.

Bill has extensive experience in energy transactions and cross-border transactions across Latin America. He represents clients in forming joint ventures and buying and selling oil and gas properties, power generation facilities, natural gas and crude oil pipelines, terminals, processing plants, gas storage facilities, and oilfield service companies. Fluent in Spanish, Bill regularly counsels U.S. and Latin American clients in mergers, acquisitions, joint ventures and commercial matters involving businesses, operations and assets in Latin America.

Bill also counsels private equity funds and their portfolio companies with respect to investments ranging from portfolio company transactions, equity line investments and minority investments, as well as management compensation packages, corporate governance matters, add-on acquisitions, equity and debt financings, and dispositions. Additionally, he counsels borrowers in real estate and commercial financing transactions, including general corporate revolving and term loan facilities, acquisition finance, mezzanine facilities and asset-based loans.

Bill is a fellow of the Texas Bar Foundation, a group to which fewer than one-third of 1% of the members of the Texas Bar are granted admission.

    • Represented a midstream oil and gas company in the formation and negotiation of a joint venture with a U.S. private equity firm to pursue investments in the midstream energy sector in Mexico.
    • Represented a Mexican midstream oil and gas company in public tenders for new natural gas transportation infrastructure in Mexico.
    • Represented a midstream oil and gas company in multiple acquisitions of gas gathering and processing assets.
    • Represented Alpha Natural Resources in the formation and negotiation of a joint venture with EDF Trading for natural gas exploration and production the Marcellus Shale, and subsequent acquisition of EDF Trading’s 50% interest in the joint venture.
    • Represented a natural gas compression services provider in its acquisition of a natural gas compression services provider with operations in Mexico and Argentina.
    • Represented Maersk Oil in its $2.4 billion acquisition of offshore oil and gas assets in Brazil.
    • Represented ConocoPhillips in the $1.15 billion sale of its 50% share in the Texas-Oklahoma Seaway Crude Pipeline.
    • Represented a global oil and gas company in its $355 million acquisition of Haynesville Shale assets.
    • Represented a global oil and gas company in its $450 million acquisition of Haynesville Shale assets.
    • Represented Statoil in its $600 million acquisition of Marcellus Shale assets from three portfolio companies of Encap Investments.
    • Represented Arcapita Bank in its acquisition of a U.S. natural gas storage business.
    • Represented a global energy company in the sale of its Italian fuel distribution and gas meters businesses.
    • Represented Arcapita Bank in its $720 million acquisition and financing of an 800 MW gas-fired power generation facility located in Texas.
    • Served as special corporate counsel to debtor Bosque Power Company in out-of-court restructuring, which included implementing new equity ownership.
    • Represented a Mexican IT services company in its sale to an Indian IT services company.
    • Represented the borrower in a $48 million commercial mortgage-backed securitized (CMBS) loan secured by a 385,000 square foot office building in downtown Houston, Texas.
    • Represented two private equity funds in a co-investment with an employee stock ownership plan in an acquisition of an agricultural business specializing in hydroponically greenhouse grown vegetables in California.
    • Represented Advance Real Estate, an industrial property developer in Mexico, in the formation and negotiation of a joint venture with Equity International to develop real estate projects in Mexico.
    • Represented a leading titanium dioxide manufacturer in its $1.2 billion acquisition and financing of a global inorganic chemicals business.
    • Represented The Home Depot in a series of acquisitions of home improvement chains in Mexico.
    • Represented The Home Depot in its divestment of businesses in Chile and Argentina.
    • Represented a Japanese conglomerate in a joint venture with banana producer with plantations throughout Latin America.
    • Represented an oilfield service company in the sale of its interest in a software company.
    • Represented Air Liquide in the sale of its 50% share of a power generation facility located in Texas to ArcLight.
    • Represented a specialty gas supplier in its sale to Airgas.
    • Represented Actis Capital in its sale of a Costa Rican fruit juice producer.
    • Represented an oilfield service company in a $70 million senior secured revolving credit and term loan facility.
    • Represented ConocoPhillips in commercial and real estate matters in connection with the spin-off of Phillips 66.
    • Represented Maersk Line in the sale of its office building in The Woodlands, Texas.

    • Represented Whirlpool Corporation in a build-to-suit lease for a 120,000 square foot appliance manufacturing facility in Mexico.

    • Represented American Tower in its acquisition of commercialization rights to approximately 200 broadcast towers in Mexico from major television network.
    • Represented a privately owned metals manufacturer in its sale to a leading wholesale construction supply company.
    • Represented a hazardous waste management and industrial service company in dispositions of water treatment division, recycling services division and industrial waste management division.
