Christopher Gladbach, a Partner in the Washington, D.C., office, is a member of the Energy and Infrastructure group. Chris was recently elected to serve on Law360's 2018 Project Finance editorial advisory board.

Chris counsels energy and infrastructure clients structuring complex equity and debt investments, including tax equity investments. Chris advises both buyers and sellers in the power sector in mergers, acquisitions, and joint ventures, and on the development of large-scale energy projects. He assists his clients in mitigating and allocating risk associated with these transactions in conjunction with achieving their primary business and financial objectives.

Chris is co-head of Orrick’s Defense Energy Task Force. He has extensive experience advising clients pursuing opportunities involving Defense Department energy projects, and working to develop and finance those projects. Chris counsels developers, purchasers, lenders and tax equity investors in the nuances of Government Contracts and how to structure project development and financing arrangements to account for unique risks presented by Government Contracting considerations.

Another focus of his practice is representing private equity funds and institutional investors in transactions involving power assets. He has counseled his clients through a variety of market-leading transactions in this area, and understands the unique challenges and opportunities that these clients face. Chris is a frequent speaker and writer on topics related to private equity and institutional investments in power assets.

Chris also regularly counsels clients on cross-border investments in energy projects and companies. Recent engagements include working with project sponsors and investors from Germany, Italy, Spain, Portugal, the United Kingdom, South Korea, China and Japan on structuring both inbound and outbound energy investments.

  • Project and Tax Equity Financings

    • Represented several sponsors in obtaining more than $2 billion in construction and term debt financing for wind and solar projects.
    • Represented one of the world's largest wind energy developers in connection with tax equity financings for wind energy projects located throughout the United States, including New York, Oklahoma, California, Illinois and Texas.
    • Represented a turbine manufacturer and developer in connection with obtaining tax equity financing for, and a corresponding sale to a cash equity investor of, an energy-hedged portfolio of three merchant wind projects with a value of between $900 million and $1 billion.
    • Represented sponsor in connection with the construction, back-leverage, and tax equity financing for a wind energy project.
    • Represented a project developer and sponsor in the construction loan financing for two U.S. wind energy projects.

    Defense Department Projects

    • Advised a number of developers and investors in connection with Department of Defense’s renewable energy procurement programs, including the MATOC.
    • Advised sponsor on the government-contracting aspects of Air Force project development, tax equity financing and purchase and sale of solar project.
    • Represented project sponsor in a hybrid wind, solar and conventional power project to supply energy to the largest Army military installation in the United States.
    • Currently advising a number of developers in ongoing projects involving the Defense Logistics Agency, and the Air Force, Army and Navy.

    Private Equity, M&A and Joint Ventures

    • Represented a first-tier private equity fund in providing development equity financing of a portfolio of biomass investments.
    • Represented private equity fund in acquisition of a portfolio of eight (8) different solar projects.
    • Represented private equity fund in acquisition transaction involving a portfolio of anaerobic digestion facilities.
    • Represented private equity fund in fund formation and investment activities involving renewable energy projects in Japan.
    • Represented the project developer in the sale of wind energy projects in Oklahoma and Illinois.

    Project Development Representations

    • Advised a number of Japanese and inbound developers and investors in the development of several renewable energy projects in Japan, including EPC and other construction arrangements, contracts for turbine or panel supply, and joint development arrangements.
    • Represented a number of U.S. utilities in wind and solar power purchase transactions for long-term electric power supply.
    • Represented project developer in EPC and BOP and other construction arrangements for hybrid wind and solar project.
    • U.S. subsidiary of a Japanese utility in the ongoing management of a large portfolio of ownership interests in power generating facilities in the continental United States.

    Cooperative and Utility Financings

    • Chris has represented several generation and transmission cooperatives in obtaining more than $10 billion in financings through syndicated credit facilities, 4(2) private placements, 144A capital markets transactions, and tax-exempt financings.
