Konstantin Kroll is a leading M&A and capital markets (debt and equity) expert in Russia, recognised on numerous occasions by Legal 500, IFLR, Chambers and Best Lawyers. Dual qualified in Russia and England and Wales, he has over 19 years of experience advising corporate clients and financial institutions on complex cross-border transactions in Russia and the broader region of the former USSR.

Konstantin’s practice concentrates on M&A, joint ventures, debt and equity capital markets transactions, structured finance and derivatives. He also has significant experience in project finance, bankruptcies and restructurings. Konstantin has advised clients on some of the largest M&A transactions in the energy, manufacturing, consumer and banking sectors in the Russian market.

Most recently he has represented Zarubezhneft, a major Russian state owned oil and gas company, in connection with the acquisition of a stake in the Kharyaga Production Sharing Agreement (one of only three of a kind in Russia) and the transfer of operatorship from Total.

Prior to joining Orrick, Konstantin was a partner at Jones Day and before that at Allen & Overy where he led the firm’s debt capital markets and derivatives practices in Russia.

    • Zarubezhneft, a major Russian oil and gas company, in connection with the acquisition of a stake in the Kharyaga Production Sharing Agreement (one of only three of a kind in Russia) and the transfer of operatorship from Total.
    • Sberbank and VTB, two largest Russian banks, in relation to the financing of RUR 70 billion (US$1.1 billion) acquisition by En+ Group of a 40.3% stake in Irkutskenergo from Inter RAO.
    • Rosneft, Russia’s largest oil and gas company, in the acquisition of oil and gas assets from OJSC Alrosa, the world's largest diamond producer, in a series of transactions valued at approximately $1.38 billion.
    • EVRAZ plc, in connection with the acquisition from OJSC Alrosa of 51% of the issued shares in OJSC Mining and Metallurgical Company Timir.
    • Russian Copper Company in connection with its acquisition of Enisseiskaya Industrial Company, the holder of an exploration license for Elegest coal deposit in Republic of Tuva, Russia, one of the largest deposits of thermal coal in the world with the estimated reserves in excess of 1 billion tons of coal.
    • Russian Copper Company in the formation of a joint venture with Gerald Metals Inc. to develop a major copper deposit in Russia.
    • Sovcombank on the acquisition of GE Money Bank from GE.
    • Goldman Sachs on the acquisition, and subsequent sale, of an equity stake in Bank of Moscow.
    • Citibank on a $3.5 billion share buy-back by Norilsk Nickel.
    • a consortium of Russian Copper Company and UGMK on the acquisition of Chelyabinsk Zink Plant.
    • EBRD in connection with an equity investment to acquire an 11.75 percent stake in Promsvyazbank (the largest equity investment by EBRD into a Russian financial institution).
    • Ingosstrakh on the disposal of SOVAG, a German Insurance business.
    • VTB Bank and VTB Capital on equity investment in Mariisky NPZ.
