Christine McCarthy is a partner in the Silicon Valley office and a member of the Compensation and Benefits Group.
Equity Compensation: Christine has extensive experience advising on all aspects of equity compensation plans and arrangements for multinational private and public high growth technology companies, as well as large Fortune 500 public companies. Such advice covers the design, administration, and implementation of such plans and arrangements, as well as compliance with applicable federal and state laws, including corporate, securities and tax laws, NASDAQ/NYSE rules, and accounting rules. In addition, Christine counsels clients on corporate governance related issues that arise with respect to such plans and arrangements and regularly prepares disclosure required to be included in annual proxy statements, Form 10-K reports and Form 8-K filings.
Executive Compensation: Christine frequently advises compensation committees, Boards of Directors, companies, management and executives on executive employment agreements, severance agreements, change in control agreements, retention plans and agreements (including management carveout plans), long and short term bonus plans and deferred compensation arrangements and the federal and state laws that are implicated by such plans and arrangements, including corporate, securities, labor and employment and tax laws (including Internal Revenue Code Sections 162(m) (rules regarding the deductibility of certain compensation and qualified performance based compensation), 409A (deferred compensation rules) and 280G (the golden parachute rules), as well as ERISA.
Mergers & Acquisitions: Christine has particular expertise counseling clients on the compensation and benefits issues that arise in merger and acquisition transactions, including issues related to equity compensation, executive compensation, Internal Revenue Code Section 409A (deferred compensation), Internal Revenue Code Section 280G (the golden parachute rules), health and welfare plans, and qualified and non-qualified retirement plans.
