Emmanuel Ringeval, partner in Orrick’s Paris office, is a banking and finance lawyer.
Emmanuel represents French and international financial institutions, corporates, private equity funds and alternative capital providers on French and cross borders transactions. He focuses on leveraged finance, direct lending and restructuring transactions.
Emmanuel has also developed a substantial experience in the energy and infrastructure sector in the context of complex financing and refinancing transactions involving loan and/or bond financings.
Before joining Orrick in 2016, Emmanuel was a partner at Freshfields Bruckhaus Deringer and at Weil, Gotshal & Manges.
Amaury de Feydeau is a Banking & Finance lawyer based in Orrick's Paris office with a particular focus on project finance, real estate finance, structured finance and restructuring.
He advises arrangers and sponsors on complex infrastructure, PPP, concessions and property portfolio financing transactions, in France and abroad. Amaury is recognized as a leading lawyer in France. According to Chambers & Partners, clients describe him as “creative and a real solution-finder”. He regularly participates in the drafting of complex agreements for the financings of public facilities, notably public buildings and infrastructure, renewable energy projects, power plants and telecom grids. Recently, he has represented Allianz Global Investors, Bayern LB, BTMU and HSBC in the financing of the Cité Musicale on Seguin Island (Paris) which won the MIPIM Award 2015 for Best Futura Project and was the first PPP financed using securitization in France.
Amaury has also a substantial experience in real estate which includes the financing of a variety of complex French and pan-European portfolios and their restructuring. He advises on the financing of the acquisition or the construction and rehabilitation of offices, hotels and commercial buildings, as well as their securitization aspects and restructuring. He has represented arrangers and sponsors such as Benson Eliot, Blackstone, BNP Paribas, Citigroup, Colony, Deutsche Bank AG, Foncière Euris, EuroHypo, HSBC France, Lone Star, Metrovacesa, Natixis, RREEF, SEB, Société Générale, RBS and Westbrook.
Amaury joined Orrick in 2007, after four years with the Real Estate and Finance departments of Freshfields Bruckhaus Deringer.
Amaury de Feydeau is also a visiting lecturer at the business school HEC in Real Estate Finance.
Carine Mou Si Yan is a member of the firm’s Banking & Finance Group, based in Paris.
Dual-qualified in Paris and New York, Carine counsels on French and cross-border banking and finance transactions, including the financing and refinancing aspects of restructuring transactions and real estate finance.
Carine has been involved in numerous restructuring transactions, ranging from small but complex to major restructurings. She advises both debtors and creditors in numerous industry sectors, such as construction, heavy industry, paper, transportation, energy distribution network, hospitality, food retail and real estate.
She also has deep experience in real estate finance with respect to a wide range of real estate assets, such as commercial, office, logistics, hotels and infrastructure properties, acting for borrowers and lenders, whether credit institutions or alternative fund providers.
Carine earned her LL.M. from NYU Law and her J.D. from Paris II Panthéon Assas and Paris XII Créteil.
Patrick Tardivy is an M&A and Private Equity lawyer in our Paris Office and the Office Leader.
Patrick advises French and international clients on all aspects of corporate law. He mainly intervenes on M&A and Private Equity matters as well as joint-ventures. He specializes in the sectors of aerospace and defense, as well as energy and infrastructures, and real estate investments. He also has experience in investments in Francophone Africa.
According to Legal 500 EMEA 2016, clients praise Patrick for his “excellent business acumen to match in-depth legal experience”.

Guillaume Kessler is an M&A and private equity lawyer in Orrick's Paris office.
Guillaume advises on corporate finance transactions, including public and private domestic and cross-border mergers and acquisitions, takeovers, take privates, private equity and venture capital, restructurings and international joint ventures. He acts for French and international clients, including public and private companies, private equity houses and investment banks across a wide range of sectors, including tech, e-commerce, media and retail.

Dr. Hans Felix Schäfer, Counsel in Orrick's Düsseldorf office, is a member of the Real Estate Group.
Felix has particular experience in the infrastructure and logistics sectors, where he has been focused on real estate transactions, structuring of real estate investments, fund counseling and private equity as well as restructuring of real estate financings. He has also advised on a series of diverse large scale project developments as well as (portfolio) transactions for German and international clients.
Felix previously worked at international law firms Freshfields Bruckhaus Deringer and DLA Piper UK LLP. He served as inhouse counsel with ProLogis Germany Management GmbH and spent two years with HFK Law Offices. Most recently, he was an associated partner with independent German law firm Graf von Westphalen.
Felix attended the University of Cologne, where he received his doctorate degree. He has been acknowledged as "frequently recommended" in the field of Real Estate by JUVE Handbook of German Law Firms (2012/2013) and is member of the Royal Institution of Chartered Surveyors.

Emanuela Molinaro is a partner at Orrick, based in the Milan office and member of the Real Estate group within the Finance team.
With a solid corporate background, she has advised on real estate aspects of a wide range of corporate transactions and has also gained significant experience in the area of real estate transactions and construction law, having assisted domestic and international investors in connection with various property and property-development transactions in Italy, including the disposal of complex real estate portfolios, sale and lease-back transactions, land acquisition and building redevelopment.

Marshall Brozost is a Real Estate lawyer in Orrick’s New York office and serves as head of the New York Real Estate Group.
He focuses on complex real estate transactions on behalf of institutional and private equity investors. In addition, his practice encompasses all aspects of commercial real estate investment, from purchases and sales, formation of joint ventures and real estate funds to mortgage and mezzanine financing, REIT structuring, workouts and leasing. His clients include State Street Global Advisors, Phoenix Realty Group, Arel Capital and The Praedium Group, as well as other real estate private equity funds, investment advisers, domestic and foreign institutional investors, lenders and developers. Sarah Fleury is a Real Estate lawyer based in Orrick’s Paris office. She serves as Head of the French Real Estate Group. Sarah's practice focuses on advising domestic and international investors on property and development transactions.
Sarah’s practice focuses on real estate M&A (purchase and disposal of companies owning properties and of real estate portfolios, sale and lease-back transactions as well as asset and share deals). She has a broad experience advising foreign clients and new players who enter the French real estate market.
According to Legal 500, Sarah Fleury receives praises from clients for her “creative skills in searching for solutions”. Her very recent experience includes hospitality investments and office building acquisitions.
She also has a considerable track record in commercial leases, construction and real-estate related litigation cases.
Sarah Fleury joined Orrick Rambaud Martel from the Paris office of Linklaters LLP. Prior to that, she worked at De Pardieu Brocas Maffei.
Hervé Touraine, partner in Orrick’s Paris office, is Head of Finance Europe.
Hervé represents French and international financial institutions, corporates, sponsors, investors, insurance companies, asset managers and alternative capital providers on French and cross borders transactions. He advises on banking, structured finance, securitization, and capital markets transactions.
Hervé has worked on numerous complex, strategic and/or innovative transactions (including many firsts in France and Europe) such as international securitization transactions, covered bonds, corporate structured bonds, project bonds, debt funds and the establishment of dedicated origination and refinancing platforms. He also acted on transactions for financing or refinancing purposes (including liquidity), and for off-balance sheet or regulatory capital purposes. As such, he has developed particular skills in handling multi-jurisdictions and multi-practices transactions.
He has developed a substantial experience in the energy and infrastructure sector in the context of financing and refinancing transactions, using classical bank structures as well as Euro PP, bond and project bond structures, specialized credit institutions and dedicated debt funds.
Hervé is described by his clients as a “key person” for structured finance deals, noting: “when we've got a problem, he's there. We know we can count on him”. Clients further comment: “He is dedicated and innovative, and an expert in is field. We see him as a business partner of ours, rather than a lawyer”.
Hervé is an active participant in drafting securitization and structured finance legislation and regulations in France. Hervé regularly publishes and speaks in relation to structure finance markets and related point of interest and deals.
