Lauren is a member of the Compensation and Benefits Group. Lauren advises public and private companies and individual executives, management teams, and founders on compensation and benefits matters related to equity-based compensation, including stock options, profits interests, restricted stock, employee stock purchase plans, and deferred compensation arrangements, along with other compensation and benefits matters in the context of ongoing business operations, M&A transactions, spin-offs, and venture capital financings.

Lauren also advises on day-to-day tax, employment, and securities law issues in connection with the design, administration, negotiation, and implementation of executive compensation and equity compensation arrangements, including employment and executive agreements, change in control and severance arrangements, consulting agreements, non-competition and confidentiality agreements, cash and equity-based incentive programs, 409A and other deferred compensation issues, 280G “golden parachute” compliance, and Employee Retirement Income Security Act (ERISA) fiduciary and other matters.
