Yalan Lei, an associate in Orrick’s Shanghai office, is a member of the firm’s M&A and Private Equity Group.

Yalan’s practice focuses on cross-border mergers and acquisitions, private equity investments, joint ventures and general corporate matters.

Yalan regularly represents Chinese major state-owned and private companies in acquisitions and sales of businesses, as well as strategic investments in the region. She is also experienced in advising multinational corporations on foreign direct investments and establishments of WFOEs (Wholly Foreign Owned Enterprises) in China.

She has represented clients from a wide range of industries, including real estate, financial services, technology, media and entertainment, consumer/retail, life science and healthcare.

Prior to joining Orrick, Yalan was an associate in the Shanghai office of a major PRC law firm.

    • JD.com Inc., one of China’s largest B2C online retailers listed on NASDAQ, in connection with the US$931 million Series A financing for its healthcare subsidiary, JD Health, with investors including CPEChina Fund, CICC Capital, and Baring Private Equity Asia; and its US$306 million investment in Shanghai-based logistics developer ESR.
    • LexinFintech, a NASDAQ-listed online consumer finance platform in China, in its investments in the U.S.
    • Qingdao Haier in its €475 million investment of leading Italian home appliance manufacturer Candy S.p.A.; and IPO and listing in the Prime Standard of the regulated market on the Frankfurt Stock Exchange.
    • The Aviation Industry Corporation of China in its sale of real estate business to Poly Group.
    • BOC Group in its acquisition of all equity interest in a real estate project company in Shanghai from Standard Chartered and Hwabao Trust.
    • Farfetch, a luxury online fashion retailer, in its establishment of an e-commerce platform in China and its Chinese subsidiary’s daily operation.
    • Landsea, a Chinese leading green tech property developer, in its acquisition of all equity interest in a real estate project company in Chengdu.
    • Park Place in its sale of all equity interest in a real estate project company in Chongqing.
    • Equistone, one of Europe’s leading lower mid-market private equity investors, in its acquisition of a majority stake in the United Initiators group.
    • GE Healthcare in its acquisition of all shares in Swiss Biosafe Group, a supplier of integrated cell bioprocessing systems.
    • AB InBev, a world leading beer company, in its stock acquisition of a Hebei brewery company.
    • Capvis, a leading Swiss mid-market private equity fund, in its acquisition of polyurethane machinery specialist Hennecke Holding GmbH.
    • Friedman Fleischer & Lowe, an American private equity firm, in its acquisition of Electrical Components International, a leading global manufacturer and marketer of wire harnesses.
    • Ansaldo Energia S.p.A., Italy’s largest electric resource company, and its controlling shareholder in their strategic agreement with Shanghai Electric.
    • Shenglian Investment Group in its investment into PPTV, a Chinese P2P video streaming website.
    • Take-Two Interactive, a leading video game developer and publisher, in its establishment of a WFOE in China.
