Hager & Meisinger has a new majority shareholder after pan-European private equity firm Apheon acquired a controlling stake in the group of companies.
Apheon will partner with Hager & Meisinger’s current shareholders and co-CEOs, Burkard Höchst and Sebastian Voss, who will retain a meaningful shareholding alongside Apheon and remain actively involved in the group’s continued development.
Orrick advised the previous majority shareholders of Hager & Meisinger on the transaction.
Founded in 1888 and headquartered in Neuss, Germany, Hager & Meisinger is a leading independent specialist in high-precision dental instruments. The group brings together the Meisinger and Jota brands and serves dental professionals in more than 100 countries through its international distribution network. Its vertically integrated manufacturing operations are based in Neuss and Rüthi, Switzerland.
Apheon is a pan-European mid-market private equity investment group. Since its founding in 2005, Apheon has raised more than €5 billion in capital. Its current portfolio consists of 25 companies representing €4 billion sales and more than 25,000 employees. Apheon is advised by Apheon Advisors, which has offices in Brussels, Milan, Madrid, Paris, Munich and Amsterdam.
With Apheon as a partner, Hager & Meisinger intends to accelerate its growth organically and through selective acquisitions, with a particular focus on expanding its presence in the U.S. and strengthening its international commercial reach and distributor partnerships.
"We are proud of what our team has achieved and see significant opportunities to bring our products and expertise to more customers around the world. It was important to us to find a partner that shares our long-term perspective and respects the heritage, commitment to quality and close relationships on which Hager & Meisinger has been built. We believe Apheon is the right partner for the Group’s next chapter and look forward to shaping it together,” Burkard Höchst and Sebastian Voss, Co-CEOs of Hager & Meisinger commented.
The Orrick team is led by Christoph Brenner and Maria Teodorescu, and includes Stefan Schultes-Schnitzlein, Benedikt Kamann, Lars Mesenbrink, Stefan Renner, Carsten Engelings, André Zimmermann, Adrian Dengler and Marianna Urban.
