Jonas Robison, a Senior Associate in Orrick’s New York office, is a member of the Structured Finance Group. He has a broad financial regulatory practice, including frequently advising on derivatives regulations and CFTC matters. His practice also focuses on securitization and negotiating derivatives transactions. 

He has experience with derivatives regulations under the Dodd-Frank Act, bank regulations, regulatory requirements applicable to virtual currencies and blockchain technology, and the securities laws generally. He also represents issuers and underwriters in commercial mortgage loan, auto loan, credit card, and other types of securitizations. In addition, he has broad experience in general corporate matters.

    • Advise on derivatives regulations under Dodd-Frank and other CFTC matters, including swap margin rules, reporting and recordkeeping, product definitions, entity definitions, commodity pool operator and commodity trading advisor requirements, and cross-border application of such regulations.
    • Lead Orrick’s internal Bank Regulatory Group, advising on the Bank Holding Company Act; Regulations Y, U, and W; broker-dealer regulations; the Investment Advisers Act; regulations applicable to virtual currencies and blockchain technology; the Paycheck Protection Program; and the securities laws generally.
    • Represent issuers and underwriters in commercial mortgage loan, credit card, auto loan, and other types of securitizations.
    • Negotiate and draft ISDA Schedules, Credit Support Annexes, Master Securities Forward Transaction Agreements, account control agreements, investment advisor representation letters, and related documentation on both the sell and buy sides.
    • Structure and negotiate confirmations for equity derivatives and other types of derivatives transactions.
    • Broad experience in general corporate matters, including private equity mergers and acquisitions, venture capital financings, corporate governance, private fund formations, initial public offerings, commercial contracts, and SEC reporting.
