Samantha Goldberg-Seder assists financial services clients on a variety of regulatory and compliance matters.

Samantha advises payments companies, fintechs, global technology platforms and investors on payments activities, money transmission licensing, regulatory compliance, examinations, transactions involving licensed entities, and state and federal enforcement actions.

Payments and fintech clients rely on Samantha's guidance across the full lifecycle of their businesses — from initial licensing analysis and multistate licensing strategy, through ongoing compliance, examinations and regulator communications, to acquisitions, change-of-control approvals, and orderly wind-downs. Her collaborative, risk-based approach helps companies make practical and effective choices as they scale and evolve.

Prior to joining Orrick, Samantha was an associate at Buckley LLP.

- Serving as ongoing money transmission and lending regulatory counsel to a leading payroll platform.
- Advising public and late-stage payments companies on money transmission matters, including regulator and examiner responses.
- Assisting payments and payments-adjacent companies with fraud-related regulatory issues.
Transactional
- Advising investors and existing payments processors as regulatory counsel in connection with anticipated acquisitions of licensed money transmitters.
- Conducting regulatory due diligence on acquisition targets.
Restructuring and Wind-Down
- Advising a digital asset investment firm on winding down regulated activities.
- Facilitating the orderly wind-down of a distressed payments company, including regulatory communications.
