Max Hyatt, a Senior Associate in the San Francisco office, is a member of Orrick's M&A and Private Equity group.

Max advises public and private companies through a wide range of strategic transactions, including complex merger and acquisition transactions, debt and equity investments, joint ventures, internal reorganizations, and global expansions. Max's background includes working with early stage start-ups and competing in international Motorsports.

Prior to joining Orrick, Max was an associate at Baker McKenzie.

    • Turn/River Capital in the acquisitions of Redwood International Business Group BV (2021), Teli Communications (2021), Paramount Technologies (2020), Advanced Systems Concepts (2019), and the sale of Invicti Security Corp (2021), and other confidential non-public transactions.
    • Toyota in its investments in Pony.ai (2020), Didi (2019), and a series of confidential non-public transactions in the Mobility space.
    • Workday in its acquisition of Zimit (2021).
    • Zynga in its acquisition of Chartboost (2021).
    • Trimble Navigation in its acquisition of Azteca Systems LLC (dba “Cityworks”), and certain other confidential non-public transactions.
    • Bayer AG in connection with the acquisition of BlueRock Therapeutics; its cumulative investment of over $50 million in One Drop as lead investor in One Drop's Series B and Series C financings; its Unfold Bio joint venture with Temasek; and several other strategic investments of Leaps by Bayer in an array of emerging growth life science companies.
    • Medtronic plc in the sale of its Patient Care, Deep Vein Thrombosis (Compression), and Nutritional Insufficiency businesses to Cardinal Health Inc. (international aspects only).
    • Symantec Corporation in the sale of its information management business (dba “Veritas”) to The Carlyle Group (international aspects only).
    • Evergrande Healthcare Industry Group Limited in its investment for a controlling stake in Farraday Future, a US electric vehicle manufacturer.
    • Nuance Communications, Inc. in the sale of its document imaging division to Kofax, Inc. (international aspects only).
    • Numerous publicly traded multinational companies on the planning and implementation of global spin-off, post-acquisition integration and reorganization transactions in over 70 jurisdictions.
