Orrick is advising Zimperium, a Texas-based developer of a mobile threat defense platform and a Warburg Pincus portfolio company, on its approximately $525 million acquisition by private equity firm Liberty Strategic Capital.
With this investment, Liberty Strategic Capital will acquire a controlling interest in Zimperium. This investment will enable Zimperium to continue accelerating its growth, both organically and through acquisitions. SoftBank, which has been an investor in Zimperium since 2017, will continue as a minority investor. The deal is expected to close in Q2 2022, subject to receipt of regulatory and client approvals.
Orrick has represented Zimperium since 2016, including most recently on their Series D-F, as well as on various acquisitions and IP and litigation matters. The Orrick team advising Zimperium on this acquisition is led by Leah Recht and Pete Lamb, and includes Samantha Caluori, Derek Jones, Maggie Hoffman and Ashleigh Williams.
