Douglas Goe Senior Counsel

Doug is senior partner with decades of experience in public finance and municipal bond law, including federal, state and tribal tax and securities law issues.

Doug serves as bond counsel for the State of Alaska, the Alaska Municipal Bond Bank Authority, the Washington Economic Development Finance Authority, the Oregon Department of Transportation, the State of Oregon concerning the issuance of General Obligation Bonds for Higher Education and Oregon Health and Science University. Doug also serves as the primary lead bond counsel for the Oregon Facilities Authority on higher education, hospital and other conduit 501(c)(3) revenue bond issues.

Doug has also served as bond counsel, underwriters counsel or borrowers counsel on conduit revenue bonds in the states of Alaska, Arizona, California, Florida, Idaho, Illinois, Michigan, Washington, Wisconsin and Wyoming.

Kim B. Goldberg Of Counsel

New York

Kim represents companies and individuals in a variety of complex commercial matters, including breach of contract, securities and stockholder litigation, borrower-lender disputes, trade secret misappropriation, and bankruptcy proceedings. She also has significant experience in white collar criminal and regulatory investigations and enforcement actions, as well as internal investigations. Kim regularly appears in courts across the country; before arbitration panels; and before regulators including the SEC, DOJ, and CFTC.

Kim maintains an active pro bono practice, including matters ranging from prisoners' rights to immigration issues and constitutional law.

Kim graduated from Harvard Law School, where she was an editor of the Harvard Law Review. She earned her B.A., with honors and distinction, and M.A. from Stanford University, where she was a member of Phi Beta Kappa.

Before joining Orrick, Kim practiced in the litigation departments of Milbank LLP and Wachtell, Lipton, Rosen & Katz.

Samantha Goldberg-Seder Senior Associate

Samantha advises financial services and technology companies on a variety of regulatory and compliance matters with a focus on money transmission, payment systems, payroll processing, lending, payment cards, cryptocurrency and banking. Her practice includes guiding clients through product development and outlining regulatory expectations and requirements. She also advises technology companies and financial institutions regarding the applicability of federal and state money services business licensing requirements, provides licensing strategy guidance, and assists with application preparation, submission and regulator communications.

Prior to joining Orrick, Samantha was an associate at Buckley LLP.

Neil Golden Senior Counsel

Washington, D.C.

In recent years, Neil has worked extensively on transactions involving the acquisition and divestiture of both companies and assets, as well as the development and financing of renewable energy projects involving wind, solar, biomass and fuel cells, and on alternative fuels projects in the ethanol industry. He served as lead counsel for the sale of a large distributed solar, fuel cell and residential solar portfolio, named “2019 M&A Deal of the Year” by Power Finance & Risk Magazine. He has also worked extensively on the development and financing of conventional power generation facilities.

His corporate and financing experience has included representation of clients in syndicated bank financings, financings by multilateral and bilateral agencies, Rule 144A debt offerings, sale-leaseback financings, construction loans, formation of joint ventures and partnerships, equity investments, and the purchase and sale of equity interests in projects.

Internationally, Neil has represented sponsors of power projects and electric distribution companies in a number of countries including Brazil, Argentina, Jamaica, Honduras, Bangladesh, Nepal, Colombia, Turkey, the Dominican Republic and the People’s Republic of China.

She has been assisting clients in the selection and creation of brands, as well as their protection, for more than 20 years. Her experience includes worldwide prosecution and policing of trademarks, dispute resolution, UDRP proceedings and litigation before the Trademark Trial and Appeal Board. Her clients cover a variety of industries, including alternative energy, biotechnology, clothing, computer services, consumer products, credit card services, food and beverages, medical equipment, pharmaceuticals, software, and telecommunications.

She has spoken on trade dress for the Practising Law Institute on intellectual property, and on domain name and other issues for the International Trademark Association. She has served on various INTA committees.

Lauren M. Goldsmith Senior Associate

Lauren works on single plaintiff and class action employment matters, defending against discrimination, harassment, retaliation, and wage and hour claims in state and federal trial and appellate courts.  She also assists clients with conducting internal investigations and provides clients with guidance on pay equity-related matters.

Prior to joining Orrick, Lauren spent more than seven years as an associate in the litigation group of Sullivan & Cromwell LLP representing clients in complex litigation matters, including commercial and employment actions.  Lauren's practice at Sullivan & Cromwell also included an active pro bono docket focusing on reproductive rights and LGBTQ and immigration issues.

Jolie also plays a leadership role in the firm’s client relationship program. She works with the firm’s relationship partners and client teams globally to ensure optimal communication, offer value added relationship benefits, and meet clients’ service and relationship expectations in the fast-changing legal market.

Jolie has more than 20 years of experience in law firm communications and business development. She began her career at the New York-based international law firm of Rogers & Wells, where she built the firm’s marketing and communications department and served on the senior team that orchestrated Rogers & Wells’ three-way combination with U.K.-based Clifford Chance and Germany-based Punder. As head of Business Development for the Americas Region at Clifford Chance, she led the rebranding of the Americas practice and collaborated with colleagues internationally to integrate the combined firm through the introduction of a global client relationship program and consistent, client-focused approaches to business development.

She is a competitive cyclist, a less competitive road runner and a novice mountaineer.
