Cynthia Angell is a Senior Associate in Orrick's Capital Markets Group. She focuses on advising public and private companies in the areas of corporate governance, securities law compliance, securities offerings and ESG.

A diligent and committed legal practitioner, Cynthia advises public companies on compliance and governance matters arising out of federal securities laws, state corporate law and stock exchange regulations. She regularly assists with regulatory compliance and corporate governance, special committee and conflicts committee matters and capital transactions.

Cynthia also enjoys a robust pro bono practice. She has been involved in over 20 pro bono cases assisting victims of domestic violence under the Violence Against Women Act.

  • Prior to joining Orrick, Cynthia was an attorney with Akin Gump Strauss Hauer & Feld LLP.

  • Cynthia's engagement's include:

    • Rattler Midstream LP in connection with its $765 million initial public offering of common units, one of the largest IPOs in the energy industry in 2019 .
    • The initial purchasers in a Rule 144A offering of $150 million of senior notes by WildHorse Resource Development Corporation.
    • EOG Resources, Inc. in its $2.4 billion acquisition of a privately held business in three stock-for-stock mergers.
    • Walter Energy, Inc. creditors in the $3.1 billion restructuring of Walter Energy through a 363 credit bid. Cynthia subsequently represented Warrior Met Coal, the acquirer of substantially all of Walter Energy's core assets, comprising its Alabama coal assets, and certain selling stockholders in its NYSE IPO and in subsequent offerings of debt and equity.
    • Corporate/34 Act counsel to multiple NYSE and NASDAQ listed companies, including providing ongoing assistance with corporate governance matters.
