Khue is a lawyer who advises energy and infrastructure project sponsors, investors and lenders on large and complex projects in Vietnam.

His experience ranges from renewable energy, thermal power, oil and gas, LNG, petrochemicals to infrastructure projects in Vietnam.

Khue has an extensive track record and has developed deep experience in advising on the electricity sector in Vietnam. This includes being involved in the advisory commentary process for the development of most Vietnam’s electricity law and policies, navigating laws in developing PPAs and other concession contracts for new generation thermal and renewable energy projects, and advising strategy around bidding regulations. This knowledge has been built through working closely on high-profile transactions related to large-scale thermal power and renewable energy projects and with different industrial commentators.

Prior to his relocation to Singapore, he has spent more than 9 years at top international law firms in Vietnam, including a one-year secondment at the Nghi Son Refinery Project, one of the largest energy and plant projects in Vietnam to date.

  • Thermal

    • Marubeni and WTO, as developers, on the O Mon 2 gas-fired power project in Vietnam.
    • GS Energy and VinaCapital, as developers, on the Long An 1 and 2 LNG to power projects in Vietnam.
    •  JBIC on the bankability of power sector development in Vietnam, including a comprehensive study of electricity law and its draft implementation circulars and decrees and its template PPA and advice in relation to regulatory change and changes to template PPA and other contracts.
    • Developers and sponsors on advisory matters of the 1,200MW Nghi Son 2 coal-fired power plant project, 1,200 coal-fired power plant in Van Phong, and Vung Ang 2 BOT power project in Vietnam.
    • A Japanese utility on its bid for the Ca Na LNG complex in Vietnam. We advised the client on throughout the RFQ stage. We advised on all aspects of LNG and power development regulation in Vietnam, as well as public bidding and procurement.

    Renewables

    • Sembcorp on its US$160.3 million acquisition of majority interests ranging from 73% to 100% in various subsidiaries of Gelex. The transaction will add 245MW of operational wind, solar and hydropower assets to Sembcorp's current Vietnam portfolio in Vietnam.
    • Siam Commercial Bank and Thailand Export-Import Bank on a loan to Gulf Tay Ninh 1 JSC, a subsidiary of Gulf Energy Development PCL, in respect of the 68.8MW TTCIZ-01 solar project (GTN1) in the Tay Ninh Province, Vietnam.
    • AIIB on the financing of wind power projects in Vietnam.
    • EDP Renovaveis on legal due diligence, acquisitions, transaction documents and development of a 50MWp Solar PV Project, 200MW Phase I and II solar farm projects, 168MW solar farm in Ninh Thuan Province, and a rooftop solar portfolio (12MW) in Vietnam.
    • A Thai energy developer on legal due diligence, acquisitions and/or developments of several wind and solar farms in multiple provinces of Vietnam (Ben Tre, Tay Ninh, Bac Lieu, Gia Lai, Quang Tri, Ninh Thuan, Binh Thuan, and Khanh Hoa provinces).
    • UPC Renewables on project development and construction, including handling claims under EPC Contracts for 2x30MW Lac Hoa and Hoa Dong wind farms in Soc Trang Province of Vietnam.

    • A Thai energy renewables company on legal due diligence, acquisition, development and operation of 50MW Phong Dien II solar power project in Thua Thien Hue Province of Vietnam.
    • The World Bank on legal technical support projects in Vietnam, including (i) designing Vietnamese legal framework for bidding/auction mechanisms for renewables, including: solar PV, wind, and transmission lines; and (ii) rooftop solar power development programs in Da Nang and Ho Chi Minh City of Vietnam.
    • A Japanese corporation on the establishment and development of rooftop solar business in Vietnam, including the establishment of a foreign-invested company doing rooftop solar business in Vietnam, drafting project contract templates.

    • Sponsors on the development of the US$9 billion Nghi Son Refinery, the largest refinery project and one of the largest project financings in Vietnam to date.

    M&A

    • Se.ven Global Investmentson its successful bid for a 75% equity stake in the Mong Duong 2 coal-fired power plant from AES Corporation via competitive bid.Hai Linh LLC A local developer on legal vendor due diligence, the developments and proposed sale of part of the equity interest in (i) Hiep Phuoc Power Limited (combined-cycle gas-fired power projects of 375MW to be increased to 1,200MW in Phase I and additional 1,500MW in Phase II) and (ii) Cai Mep LNG regasification and storage terminal in Vietnam (one of the first LNG terminals being developed in Vietnam capable to handle LNG carriers with a capacity up to 80,000DWT).
    • A Thai energy investor on Vietnamese legal due diligence, regulatory advice to jointly develop with another developer on 3,200MW Bac Lieu LNG-to-power project.
    • Maersk in the acquisition of shares in an inland port project in Bac Ninh Province.

    Real Estate and Logistics

    • A Chinese e-commerce investor on tender documents including design- build main contract (based on FIDIC Yellow Book 1999 version) to develop its logistics Dong Nai project.
    • Lineage Logistics Drafted contracts and negotiated with contractors on construction packages including engineer consultant agreement (FIDIC White Book 2017 version), main works construction contract (FIDIC Yellow Book 1999 version), and equipment supply agreements for development of a cold warehouse in Bac Ninh province (US$100 million).
    • BW Industrial A JV - one of the largest suppliers of "for lease" industrial property and logistics services in Vietnam in drafting construction agreements including construction consultancy agreements, design-build agreement (FIDIC Yellow Book 1999 version), construction agreement (FIDIC Red Book 1999 version) for developing warehouse assets in and out industrial.
