Matt is a seasoned project finance lawyer who advises on renewable energy financings, including tax monetization strategies and debt, M&A and all aspects of project design and structuring.

Matt represents major financial institutions (cash and tax equity investors and infrastructure funds), developers, sponsors and lenders across the full project lifecycle. With experience in all renewables sectors, including solar, wind and storage, Matt provides comprehensive guidance from project inception to financing (tax equity, tax credit monetization and debt), corporate planning, equity investment and M&A transactions.

  • Project Finance

    • Scale Microgrid Solutions in a holdco debt facility supporting solar, batteries and microgrids.
    • ClearPath Energy in a development loan facility supporting a pipeline of DG solar.
    • Tokyo Gas America Ltd. on the tax equity financing for the 500 MWac Akina solar facility and in a hybrid tax equity financing / tax credit sale for a 174 MW / 384 MWh stand-alone merchant energy storage project, both in Texas.
    • JERA North America in the tax equity and debt financing of the 300 MW El Sauz wind farm in Texas.
    • CIM Group, Inc. on the tax equity and debt financing for the initial 250 MW dc phase of the planned five phase 2.7 GW Westlands Solar Park.
    • An IPP in a warehouse debt facility supporting over 20 C&I projects.
    • An IPP in the construction / term debt and tax equity financing of two portfolios (comprising 146 MW) of solar projects.
    • An international investor in a subordinated note facility for the development of a revolving portfolio of Bess projects.
    • Repsol Renewables in the tax equity financing of two solar projects and one Bess project in New Mexico (on tribal land).
    • Advantage Capital Partners in providing tax equity investments in many portfolios of C&I and small utility-scale solar projects.
    • Advantage Capital Partners in providing tax equity investment in the 272 MW Cutless II solar, the 142 MW Swift Air solar project, the 183 MW Oriana solar project, all in Texas.
    • A multi-national IPP in the tax equity financing of a 100 MW / 400 MWh stand-alone energy storage project in California and in the debt and tax equity financing of numerous portfolios of C&I solar and BESS projects.
    • A multinational financial institution on tax equity investments in several C&I solar portfolios with Onyx Renewable Partners and Duke Renewables.
    • Amp Solar (now PureSky) on the tax equity and debt financing of a four-project 29.4 MW Massachusetts Community Solar portfolio with 42 MWh of battery storage, valued at approximately $100 million.
    • SunPower on numerous tax equity joint venture partnerships across residential and C&I portfolios.
    • A group of tax equity investors on its investment in a portfolio of approximately 55 C&I solar projects across five states.
    • A large independent power producer on the tax equity financing of 12 operating wind farms located in eight states with a combined capacity of 947 MW, monetizing future tax attributes that will be generated primarily by wind projects acquired out of bankruptcy.
    • A sponsor on the tax equity, construction debt and hedge transactions for two utility-scale wind projects in Texas.

    M&A

    • A private equity firm in the acquisition of a 50% interest in a 180 MW solar project in Ohio and a 60% interest in a 182 MW wind project in Texas from a major international energy company.
    • A private equity firm in the acquisition of a 49% interest in three wind projects in the U.S. with an aggregate capacity of 551 MW and an 80% interest in a 175 MW wind project in Canada.
    • A private equity firm in the acquisition of a 49% interest in two wind projects and one solar project in the U.S. with an aggregate capacity of 665 MW
    • A major international energy company in the acquisition of and tax equity financing for a 174 MW battery energy storage project in Texas.
    • CarVal Investors on a joint venture to purchase 33 operating C&I solar projects.
    • A group of private equity funds on the negotiation of a master purchase agreement to acquire PACE-financed real estate loans from an originator and in the acquisition of the underlying loans.
