Banneker Partners portfolio company XBE has merged with BCMI Corp., creating a comprehensive, integrated platform for the heavy construction, logistics and materials industries supported by cloud-native, mobile-friendly, AI-enabled technology.
Orrick represented Banneker and XBE.
Banneker Partners is a private equity firm specializing in investing in and growing enterprise software businesses. They focus on sustainable value through best practices, growth initiatives, and strategic acquisitions—supporting founders and management teams in enhancing customer value.
XBE’s mission is to integrate the physical and financial operations of heavy construction, bulk logistics, and bulk materials. XBE provides a comprehensive operations management platform that includes scheduling and resource planning, financial management, dispatch and logistics optimization, rate agreements, materials and inventory management, reporting and analytics, compliance monitoring, and collaboration tools.
BCMI Corp.’s cloud-based, mobile software empowers producers of concrete, aggregates, asphalt, and cement to improve business processes and strengthen customer relationships.
Together, XBE and BCMI are building the future of heavy construction, logistics, and materials technology: unified, AI-powered and customer-first.
Sean Devine, Founder and CEO of XBE, will serve as CEO of the combined company. Craig Yeack, Founder of BCMI, will serve as President of BCMI.
“XBE and BCMI lead in adjacent spaces with virtually no product overlap,” Devine said. “This merger is the natural next step. We’re combining forces to give our customers more powerful capabilities, seamless data flow and faster innovation—without compromising the tools they already rely on.”
Zac Padgett and David Ruff led the Orrick team, which also included Derek Jones, Max Hyatt, Harris Quraishi, Catherine Conners, Kyle Holt, Keith Tidwell, Sharon Zhou, Kimberly Loocke, Matthew Coleman, Jose Lamarque, Alyssa Wolfington, Eric Wall, Alexandra Kleeman, and Maria Sergeyeva.
Orrick has advised Banneker partners since 2019, including on its initial strategic investment in XBE.
