File the Certificate of Incorporation with the Secretary of State – this establishes the existence of a corporation. Only a few items must be included in the Certificate of Incorporation to make it effective:
name of the corporation
brief description of the purpose of the corporation (which is generally a broad statement that the corporation may engage in any lawful activity for which corporations may be organized under the law of Delaware)
the authorized capital of the corporation
oname and address of the incorporator
Pay the initial filing fee ($89 + $9 for each Certificate of Incorporation page beyond the first - as of August 2020 – you will pay $50 for a certified copy that you will need to set up a bank account and expedited service is another $50)
Have the incorporator sign an Action by Incorporator to appoint the initial directors and adopt Bylaws (the Bylaws typically set forth the rules and various general corporate procedures affecting the governance of the corporation)
Have the director(s) sign an Approval of Organizational Resolutions concerning certain organizational matters and approving the initial stock issuance
Issue stock to the founders (or to the parent entity if the corporation is to be a subsidiary)
