If the members of an LLC are the company’s founders, then typically they will also be providing services to the LLC, even if they are not deemed employees. Often the founders will be generating key intellectual property and will have access to particularly sensitive information about the company. It is particularly important to ensure that the founders enter into the same agreements as employees do with respect to their intellectual property and confidential information, and so they should sign a Confidential Information and Invention Assignment Agreement (CIIAA).
