Are a corporation’s officers employees?

Generally, merely serving as a corporate officer will not make an individual an employee. For instance, it is not unusual to have a President, Vice President, Treasurer, Secretary or other corporate officer who is not an employee of your corporation. Sometimes, a U.S. lawyer will serve as a corporation’s Secretary, but not be its employee. However, if it is clearly agreed that the officer is on the corporation’s payroll, then the individual is an employee.
