Frequently Asked Questions

UK: What is the Certificate of Incorporation of a UK company?

Companies House issues a Certificate of Incorporation ("Certificate") when it is satisfied that all the statutory requirements for incorporation of a company have been met. The company only comes into existence when the Certificate is registered by being placed on the public register at Companies House. The Certificate includes details of the company's date of incorporation, its name and registered number, whether it is private or public, limited or unlimited and the location within the UK of its registered office. A company may change its name but not its registered number. If the name is changed the new name has effect from the date on which the new Certificate of Incorporation on Change of Name is issued.
