Bill counsels public and late-stage private companies on general corporate and transactional matters, including advising on initial public offerings, follow-on equity offerings, direct listings, investment grade debt offerings and convertible debt offerings. Bill also regularly advises companies on disclosure and reporting obligations under U.S. federal securities laws, corporate governance issues and stock exchange listing obligations.
He also advises founders and companies in connection with de-SPAC transactions. Bill represented the founders of DraftKings Inc., a digital sports entertainment and gaming company, in connection with its business combination with SBTech (Global) Limited and Diamond Eagle Acquisition Corp. He is also representing SOC Telemed, Inc., a provider of acute care telemedicine services, in its business combination with Healthcare Merger Corp. and Clover Health Investments, Corp., a next-generation Medicare Advantage insurer, in its proposed business combination with Social Capital Hedosophia Holdings Corp. III.
