The acquisition is subject to the approval of the regulatory authorities.

LANCOM Holding GmbH is the sole shareholder of LANCOM Systems GmbH, a leading German manufacturer of network solutions for business and public sector customers, such as routers, gateways and WLAN solutions which are developed and produced in Germany. Rohde & Schwarz is a Munich-based electronics group and one of the leading global providers of test and measurement equipment, broadcast and media equipment, IT security, secure communications, and radiomonitoring and radiolocation equipment.

LANCOM Holding GmbH's shareholders were advised by Orrick, Herrington & Sutcliffe LLP and Hamburg-based law firm Renzenbrink & Partner.

Mr. Harald Heidemann, member of the board of S-UBG Group, commented: “Dr. Nolting-Hauff, Dr. Greulich and the Orrick team managed the sales process in an outstanding manner and significantly contributed to its success. Their particular strength was to control the momentum carefully, to mediate between the parties whenever necessary, and never lose sight of the goal. We felt perfectly well represented by Orrick and Renzenbrink."

The Orrick team was led by Düsseldorf partners Dr. Wilhelm Nolting-Hauff and Dr. Sven Greulich, and included assistance from Dr. Stefan Schultes-Schnitzlein and Markus Piontek (Tax), Dr. André Zimmermann and Louisa Kallhoff (Employment Law), Dr. Till Steinvorth (Antitrust), and Dr. Nikita Tkatchenko and Dr. Johannes Rüberg (M&A).
