Orrick Lawyers Author Article on the Increasing Importance of the Shareholder Vote

July.12.2016

Gregory Beaman co-authored an article on a Delaware Chancery Court decision that concluded that acceptance of a first-step tender offer by a majority of disinterested stockholders insulates a two-step merger from challenge except on the ground of waste.

The piece was originally released as an Orrick client alert before being published by the Harvard Law School Forum on Corporate Governance and Financial Regulation as part of its Delaware Law Series.
