Christopher works with litigation attorneys and third party vendors to manage the review and production of documents relevant to investigations and litigation. This work includes using early case assessment technology to analyze, categorize and cull data. He also manages teams of skilled professionals performing document review, redaction, analysis, production and drafting privilege logs. Christopher assists the litigation team to prepare for trial, including drafting deposition summaries, factual memoranda and exhibit charts. He also works with practice office attorneys on transactional tasks, including contract review and due diligence.
Christopher has dedicated significant time to pro bono matters, including assisting trial counsel representing abused and neglected children.
Prior to joining Orrick, Christopher practiced criminal law, family law, creditor’s rights, bankruptcy, and estate planning in Pennsylvania.
Mike's practice focuses on the representation of U.S. and international public and private high technology companies, as well as executives, management teams and founders with compensation and employee benefits issues in the context of M&A transactions, spin-offs, venture capital financings and IPOs.
Mike also advises on day-to-day tax, employment, accounting and securities law issues in connection with the design, administration and implementation of executive compensation and equity compensation arrangements, including employment agreements, severance arrangements, change in control carve-out plans, stock option plans and employee stock purchase plans with a particular focus on Code Sections 409A, 280G and 162(m). In addition, he advises on nonqualified deferred compensation arrangements, tax-qualified retirement plans and welfare benefit plans.
Prior to practicing law, Mike was a Certified Public Accountant with Ernst & Young.
He regularly advises on IPOs, direct listings, follow-ons, de-SPACs, reverse mergers and takeovers on UK, U.S. and European stock exchanges, domestic and cross-border public and private M&A deals, venture capital, private and growth equity investments, debt financings, joint ventures, carve-outs, and restructurings, as well as on governance, disclosure, compliance, and strategic advisory matters.
His broad industry experience includes working with clients in the AI and technology, healthcare and life sciences, logistics, retail, media, marketing, financial services, energy and natural resources sectors.
Working with clients on the acquisitions of mortgage lending and money service business platforms, including obtaining the necessary approvals from federal and state licensing regulators for various licensing amendments
Completing surveys on various licensing-related topics, including recordkeeping requirements, periodic reporting requirements, and licenses required to engage in the money transmission business or to make, broker, purchase, sell and service various loan products
Assisting clients with licensing through their lifecycle, including obtaining de novo licenses and agency approvals, assisting with licensee record amendments, annual renewals, and license surrender following sale of assets or termination of a business line
Advising clients with respect to state licensing and regulatory issues, including Nationwide Multistate Licensing System (NMLS) management issues and ongoing licensing maintenance issues
Prior to joining Orrick, Norma was senior counsel at Buckley LLP. She also previously served as the vice president of compliance and counsel for a fintech company.
Karsten represents clients in international arbitrations under all the main arbitral institutions, including the ICC and DIS, frequently acts as sole and party-appointed arbitrator and also represents clients before national courts in Germany with experience in setting aside and enforcement actions.
As a former M&A transactional lawyer Karsten has solid grounding in pre-contractual and contractual negotiations and advises among others, energy producers and distributors, both traditional (oil and gas) and renewables (solar, wind) construction conglomerates, financial institutions, JVs and biotech companies.
