Bill regularly advises clients on cross-border matters, including transactions in the maritime, energy and infrastructure and technology sectors. He has particular experience in the maritime sector, having guided various market participants on numerous complex international shipping and offshore corporate and capital markets deals and restructurings.

Reflecting feedback from his clients, Bill was named a BTI “Client Service All-Star” and is described by an IFLR1000 client commentator as “extremely responsive” with a “deep spectrum of knowledge,” in Banking and Finance.

Before joining Orrick in 2002, Bill practiced with two other international law firms in New York and Paris.

Marc R. Shapiro Partner

New York

Marc represents clients in federal and state court at the trial and appellate levels with a particular focus on class actions, multi-district litigation, and mass joinders. Among Marc’s current engagements, he represents Johns Hopkins University and Teachers Insurance and Annuity Association of America in over a dozen class actions arising out of a data breach of the MOVEit file transfer software; University of Washington in a pandemic-related class action seeking refunds of tuition and fees on behalf of students; ZoomInfo Technologies LLC in a data privacy class action alleging unlawful disclosure of personal information under federal and state laws; Goldman Sachs in a pay and promotion gender discrimination class action; NCAA in concussion and injury-related cases throughout the country; Marathon Oil Corporation in nationwide climate change litigation; and multiple foreign defendants in a class action arising out of allegedly defective drywall.

Recently, Marc successfully prevailed at trial before the Delaware Chancery Court and earned Litigator of the Week recognition by Law.com for defeating claims by Netflix star Julia Haart that she owns half the shares of Elite World Group; secured dismissal of a dozen class actions against the University of California and Santa Clara University brought by students seeking refunds of tuition and fees due to COVID-driven transition to remote instruction; and defeated class certification and secured affirmance on appeal by the Ninth Circuit in an employment discrimination class action against Microsoft.

Marc served as a law clerk to Judge Betty B. Fletcher of the U.S. Court of Appeals for the Ninth Circuit. Prior to joining Orrick, Marc worked as an appellate and post-conviction attorney for the Equal Justice Initiative. In that capacity, he engaged in trial level and appellate representation of clients in both state and federal court, including two cases that were briefed and argued before the United States Supreme Court.

Amari L. Hammonds Senior Associate

Los Angeles

Before joining Orrick, Amari was the 2019-2021 Earl Warren Fellow in the Office of the Solicitor General at the California Department of Justice. There, she co-authored the Department’s briefs defending the Affordable Care Act in California v. Texas, which won the National Association of Attorneys General’s Supreme Court Best Brief Awards in both 2020 and 2021. Amari also received two Attorney General’s team awards for her work on that case and in another case challenging the Trump administration’s border wall. Amari authored or co-authored several other briefs in the U.S. Supreme Court and the California Supreme Court, and argued before the Ninth Circuit.

Amari served as a law clerk to the Honorable Merrick B. Garland of the U.S. Circuit Court of Appeals for the D.C. Circuit and Justice Mariano-Florentino Cuéllar of the California Supreme Court.

Prior to law school, Amari worked for the Mayor of New York City, Obama for America, the Democratic National Convention Committee, and two public relations firms in New York City.

Maria Sanchez Associate

Los Angeles

Maria drafts and reviews purchase and sale agreements, loan agreements and closing documents for investment funds, institutional investors and developers on real estate transactions, including joint ventures, acquisitions, financings, developments and dispositions. She also advises on lease agreements.

While in law school, Maria was a member of the International Human Rights Law Clinic for multiple semesters, where she worked to pass local resolutions in both the cities of Berkeley and San Francisco based on international human rights principles. She also participated in the East Bay Community Law Center’s Community Economic Justice Clinic.

Maria is also passionate about diversity and recruitment efforts. She served as the recruitment chair for La Alianza’s Law Student Association as well as an Admissions Ambassador at Berkeley Law. Now she is an active member of Orrick’s Latinx Attorneys inclusion network.

Maria was previously a summer associate at Orrick in 2020.

Carl Lyon Partner

He has long-standing relationships with a great number of utility clients that span many years and complex transactions, advising them on numerous taxable, tax-exempt, and tax-advantaged financings of all types for electric, gas, water and waste water projects and in restructuring and work-outs. These projects include five different nuclear plants, with financing through both the public capital market and through the U.S. Department of Energy.

Carl was one of the leaders in the development of joint action agencies among municipal utilities. He worked on legislation in 20 states to authorize their formation and testified before legislatures and legislative committees in many of these states. He drafted the first modern indenture for cooperative utilities which served as the model that is currently used by almost every generation and transmission cooperative. He worked with TVA in their exit from the Federal Financing Bank program in the 1980’s and in their financings since then. Carl worked with the major generation and transmission cooperatives that have exited the RUS program in structuring and financing their exit.

Carl has also worked with virtually every major investment banking firm and most major domestic and international banks.
