Hari represents private equity firms and public, private, emerging and late-stage technology companies in a variety of domestic and international transactions. His experience spans the range of M&A activity, including cross-border deals, SPAC transactions, majority/minority investments, restructurings and general corporate matters. He works closely with serial acquirers implementing their buy-side M&A strategies, and with venture-backed companies, founders and investors in M&A exits and other liquidity transactions.
Hari has extensive experience leading companies in core technology markets through all aspects of the M&A process. He understands the unique issues, deal terms and trends at play in technology M&A, allowing him to optimize for efficiency, transaction execution and results for his clients.
Hari has also previously worked in Asia and the Middle East on complex, cross-border M&A, and leverages that experience in leading M&A transactions across the globe, including China, India, Israel and the United Kingdom.
Prior to joining Orrick, Hari was an associate at Gibson, Dunn & Crutcher LLP. He is qualified to practice in both California and New York.
Her experience includes structuring and negotiating various strategic and leveraged acquisitions of public and private targets, divestitures, carveouts, mergers and acquisitions, equity and debt financings, minority and growth investments, restructurings, employment and executive compensation, corporate governance and other general corporate counseling matters.
She advises clients across a wide range of industries, including tech, AI, software, fintech, mobility tech, women’s health, life sciences and healthtech, insurance, consumer and retail, consulting services, education, manufacturing and transportation.
Leah also serves on the Board of Directors for National Brain Tumor Society (NBTS), a leader in brain tumor patient advocacy, research, information, and support.
In addition to her litigation and arbitration practice, Melinda counsels clients on litigation avoidance strategies and on California’s complex employment laws.
She is a fellow of The College of Labor and Employment Lawyers. Julia and her Orrick partner Lynne Hermle won the 2017 California Lawyer of the Year award in Labor and Employment from California Lawyer for their defense verdict for SpaceX in a high profile sex harassment, discrimination, retaliation and disability case. The Daily Journal also named their two jury trial wins for SpaceX as top verdicts in 2016 and 2017, both affirmed on appeal. Orrick was named Employment Group of the Year in 2018, 2019 and 2020 by Law360 and The Recorder has named Orrick the "Litigation Department of the Year: Labor and Employment" in California four times.

Clem acts as lead counsel for companies of all sizes across a broad range of industries. He has lead cases dealing with machine learning and AI, medical devices, network security, pharmaceuticals (both Hatch Waxman and competitor cases), video games, battery chemistry, consumer electronics, blockchain and other payments systems, streaming video, ticketing systems, telecommunications, and many more.
Clem has an active trial practice. In 2023 alone, Clem acted as lead counsel for teams that won two jury verdicts, three ITC proceedings, and numerous IPRs and dispositive motions.
Clem has been recognized in the Daily Journal’s list of the top 75 IP Litigators in California. Clem also maintains an active pro-bono practice focused on environmental impact litigation. He lives in Marin and spends his free time cycling around Mt. Tam.
