Ellen Ehrenpreis Partner

Ellen has spent more than twenty years in the tech and venture ecosystem and leverages her broad network and deep understanding of both the tech sector and legal landscape to effectively and strategically advise emerging companies and investors on a wide range of critical needs.

On the company side, Ellen’s clients range from early startups to mature private companies. She advises companies and founders on formation, venture financings, governance, M&A transactions, corporate and securities matters, commercial transactions and litigation strategy. Ellen’s approach is holistic and pragmatic. Her unique skill set and business-driven approach derive from her decades-long career as a Silicon Valley lawyer and her broad experiences earlier in her career as both a successful litigator and business owner.

Over her career, Ellen has represented both private and public companies and has worked with both small startups and large multinational enterprises, as well as the executives, investors and advisors involved in those businesses. As a result, Ellen draws upon a deep knowledge base and set of experiences and insights that allow her to offer practical and seasoned advice to her clients. Ellen also works closely with some of the leading venture capital and growth equity firms, whose principals she advises in connection with financings, equity structuring and corporate governance. Ellen’s company clients have represented a broad swath of the technology ecosystem, including both hardware and software, and, as a result, her industry experience is wide-ranging. Her clients have included companies in the semiconductor, SAAS, renewables, fintech, aerospace, digital retail, online sharing, biotech/biopharma, media, design and data analytics fields, among others. Dixie guides clients through their most complicated and high-stakes legal challenges involving their workforces. She has experience representing clients in the technology, professional services, and retail industries in a broad range of employment and commercial litigation disputes, ranging from whistleblower, discrimination, harassment, disability, employee mobility, breach of contract, trade secret, and business tort claims. She brings to the table experience trying cases to verdict in state and federal court, litigating cases in AAA and JAMS arbitration, and mediating with private mediators and the EEOC. 

Dixie maintains an active pro bono case load and volunteers with a number of non-profit organizations focused on children's rights and education.

Prior to joining Orrick, Dixie worked as a litigation associate in Latham & Watkins' Los Angeles office. Before that, Dixie was a law clerk for the Honorable William B. Shubb in the Eastern District of California. She earned her Juris Doctor degree from Harvard Law School where she graduated cum laude.

Alexa Steranko Project Attorney

Alexa works with corporate teams across practice groups to increase efficiency of client services by utilizing new technologies and data analytics. She applies a process-driven approach and machine learning technology to review information from contracts, amendments, company charters, board and shareholder materials, corporate filings, investor materials, and related documents to prepare detailed analyses for a variety of client needs. Examples of this work include due diligence matrices tracking red flag provisions; corporate audits identifying potential issues for acquisitions, sales, or flips; financing packages; and draft documents. Alexa also works with litigation attorneys and third party vendors to manage the review and production of documents relevant to investigations and litigation. This work includes using early case assessment technology to analyze, categorize, and cull data. She manages teams of skilled professionals performing document review, redaction, analysis, production, and privilege log drafting. She assists the litigation team to prepare for trial, including drafting deposition summaries, factual memoranda, and exhibit charts.

Robert L. Uriarte Partner

Robert is a technology litigator and trial lawyer focused on software, security technology, and emerging internet law and digital crimes issues.   Robert has helped establish landmark precedent under the Copyright Act, the Computer Fraud and Abuse Act,  California Penal Code 502, and Digital Millennium Copyright Act, and he has successfully tried multiple cases to verdict, including under the Patent Act.  In addition to litigation work, Robert also counsels companies ranging from market leaders to start-ups on issues related to intellectual property, security, and incident response.  Robert brings a creative, business-oriented approach to helping clients develop, acquire, and protect their most important assets. 

Robert is committed to improving diversity in the legal profession. He co-chaired Orrick's Silicon Valley Diversity Committee for many years and is one of the firm-wide facilitators for Orrick’s Latinx Inclusion Network.  Robert is also committed to pro bono work.  He received Orrick's Pro Bono Award in 2019 and the Legal Aid Association of California's 2015 Family Law Pro Bono Award.  Robert currently serves as a member the board of directors for the San Mateo County Legal Aid Society.

Upnit has served as litigation, trial, and appellate counsel for pharmaceutical, chemical, technology, cosmetics, and manufacturing companies. As a member of trial teams, she works on complex commercial matters to develop creative legal strategies for trial and subsequent appeals. As embedded counsel, Upnit takes the lead in drafting dispositive motions and pre- and post-trial filings and ensures that appellate issues are preserved. She has presented oral argument in state and federal courts and has co-authored countless briefs before state and federal trial and appellate courts, including the Supreme Court of the United States. In addition, Upnit maintains an active pro bono practice.

Prior to joining Orrick, Upnit focused on products liability and complex litigation work at Arnold & Porter LLP and a mid-size firm in Upstate New York. This included representing a consumer products company in the defense of thousands of personal injury cases in state and federal courts. She was the primary drafter of several motions and appellate briefs. She was also deeply involved in the firms’ pro bono practices and first chaired a trial dealing with First and Eighth Amendment claims.

Outside of the firm, Upnit serves on the Board of Directors of the DC Women’s Bar Association and serves as its Advocacy Committee Co-Chair. She is also a member of the Board of Directors of her law school’s Alumni Association.

Upnit previously clerked for the Honorable Theodore A. McKee of the Third Circuit Court of Appeals and interned for the Honorable Thérèse Wiley Dancks of the Northern District of New York. In law school, Upnit served as the Managing Editor of the Syracuse Law Review, and was an arguing member of the American Bar Association’s National Appellate Team. She received the Moot Court Honor Society’s Executive Director Award and the Syracuse Law Review Distinguished Leadership Award.

Geoffrey Shaw Senior Associate

Los Angeles

Geoff's experience litigating and advising clients covers a range of substantive areas. He especially focuses on complex issues of constitutional law and civil procedure.  He is passionate about partnering with public defenders and using his appellate experience to help death sentenced prisoners. 

Geoff received his law degree from Yale Law School. Before joining Orrick, he clerked for Judge Stephen Reinhardt on the U.S. Court of Appeals for the Ninth Circuit and Justice Anthony M. Kennedy on the U.S. Supreme Court. Geoff previously graduated from Yale College and earned a doctoral degree from Oxford, where he studied as a Rhodes Scholar.
