Sook Young Yeu is the Office Leader of Orrick’s Hong Kong office and a member of the M&A and Private Equity Group.
Sook focuses her practice on corporate and securities matters in connection with the establishment of private investment funds and ongoing representation of investment funds, fund managers, fund sponsors and fund investors. This includes private equity and venture capital investment, along with related mergers and acquisitions, corporate restructurings, and public and private securities offerings throughout the Asia-Pacific region.
During the last 30 years, Sook has advised Asian institutional investors investing in U.S., European and Asian private funds, as well as Asian private equity and venture capital funds sponsored by U.S., European and Asian financial institutions, and Asian hedge funds managed by independent fund managers. Her extensive experience covers virtually every type of fund, including private equity funds, venture capital funds, real estate investment funds, hedge funds, buyout funds, mezzanine funds, funds-of-funds, co-investment funds and restructuring funds.
Sook has served as the administrative partner in charge of Orrick’s Hong Kong office since 2005. Before joining Orrick, she was a partner of Coudert Brothers and the partner in charge of its Hong Kong office responsible for the firm’s Asian Investment Management Practice.
Verena is a Managing Associate in the Munich office and a member of the M&A and Private Equity Group and Technology Companies Group. Verena advises national and international clients on all aspects of corporate law with a particular focus on domestic and cross-border M&A and Private Equity transactions, corporate restructurings, venture capital investments as well as ongoing legal advice.
Prior to joining Orrick, Verena worked at the Munich office of a leading international law firm.

Richard Vernon Smith, a partner in our Silicon Valley and San Francisco offices and a member of our Global Mergers & Acquisitions and Private Equity Group, has over 35 years of experience in the areas of mergers and acquisitions, securities law and corporate law.
Richard has advised on more than 500 M&A transactions and has represented clients in all aspects of mergers and acquisitions transactions involving public and private companies, including negotiated mergers, auction bid processes, cross-border transactions, distressed asset sales (including 363 sales), leveraged buyouts, tender offers and exchange offers, going private transactions, mergers of equals transactions, going dark transactions, hostile takeovers, proxy contests, takeover and activist defense, purchases and sales of divisions and subsidiaries and joint ventures.
Richard also has represented clients in a wide range of SEC-registered, underwritten and privately placed stock and debt offerings, and he has assisted companies in connection with issuer tender offers (both equity and debt), recapitalizations, restructurings and rights offerings. He regularly represents clients in the preparation and filing of periodic SEC reports, proxy statements and Williams Act reports. He also assists clients in compliance with the Dodd-Frank Act of 2010 and Sarbanes-Oxley Act of 2002; Section 16 of the Securities Exchange Act of 1934; real time disclosure compliance; sales of restricted securities and sales of securities by insiders; disclosure issues, including with respect to Rule 10b-5 and Regulation FD; and NYSE/NASDAQ rule compliance and inquiries.
Anson Chan, a managing associate in Orrick’s Hong Kong office, is a member of the M&A and Private Equity Group.
Anson focuses her practice on representing private fund sponsors and investors in the formation and structuring of alternative investment vehicles, including pan-Asian private equity funds, venture capital funds, hedge funds and hybrid funds, as well as in their investments, acquisitions, divestments and restructurings across the Greater China region. She regularly handles matters covering funds establishment and license applications.
She is also experienced in handling mergers and acquisitions involving Hong Kong listed companies, initial public offerings, as well as other compliance and general corporate matters.
Prior to joining Orrick, Anson worked at Clifford Chance and Sidley Austin in Hong Kong.
Jie (Jeffrey) Sun, a partner in Orrick’s Shanghai and Beijing offices, is a member of the Corporate Group. Jeffrey represents Chinese and international clients from multiple industries, including technology, renewable energy, life sciences, financial services and consumer/retail, in a broad range of M&A, capital markets and corporate matters.
Jeffrey has extensive experience representing both Chinese enterprises in fund raising and investing abroad and foreign investors investing in China.
He regularly represents issuers and underwriters in the U.S. and Hong Kong public securities offerings, including initial public offerings (IPOs) and Rule 144A/Regulation S offerings for PRC-based companies.
In addition, he is experienced in handling complex cross-border mergers and acquisitions, foreign direct investment, strategic alliances, joint ventures and regulatory compliance matters for numerous foreign investors and Chinese companies. He also counsels global private equity funds on their investment activity throughout Greater China and across Asia.
Some clients he has represented include Bright Food, JD.com, Trina Solar, China Sunergy, Perfect World, ReneSola, Tudou, Pactera Technologies and some international investment banks and private equity funds.
Jeffrey is consistently recognized as a leading lawyer for China M&A by prestigious legal publications such as Chambers Asia, Asia-Pacific Legal 500 and IFLR1000. Clients recognizes him as “an excellent business partner, above his legal counsel role”, who “gives practical advice not only based on legal proficiency, but really helpful for our business”.
Prior to joining Orrick, Mr. Sun worked with a major international law firm, and he was a former partner in a local law firm based in Shanghai.
Lu (Echo) Wang, a senior associate in Orrick’s Shanghai office, is a member of the Corporate Group.
Her practice focuses on advising clients on mergers and acquisitions, private equity, capital markets and SEC compliance matters.
Betty L. Louie is a partner of the M&A and Private Equity Group based in the Beijing office. With a particular expertise on Asia outbound investments, Betty has extensive experience in the areas of mergers and acquisitions, private equity, strategic investments and capital markets. She has practiced for over 20 years on the continents – the US, Europe and China – on strategic and complex mergers and acquisitions.
She regularly advises Chinese corporations and financial institutions investing and operating outside of China, and also assists international companies with their FDIs in China. She also advises global private equity and venture capital funds on their investments in Chinese companies, as well as assisting international tech companies on their structuring and operations in China.
Since 2012, she has been consistently recognized and ranked in legal industry publications, such as Chambers Global, Chambers Asia Pacific and Milano Finanza. Eva Ying, an associate in Orrick’s Hong Kong office, is a member of the M&A and Private Equity Group.
Eva focuses her practice on representing private and public companies in cross-border mergers and acquisitions and private equity investments across the Greater China region.
She advises major hedge funds and private equity funds on fund formation and investments, as well as fund compliance and regulatory matters.
In addition, she has experience in handling Hong Kong initial public offerings, global financings and general corporate matters.
Prior to joining Orrick, Eva worked at Sidley Austin in Hong Kong.
William Ho, an of counsel in Orrick’s Hong Kong office, is a member of the M&A and Private Equity Group. He has extensive experience in the areas of cross-border mergers and acquisitions, private equity, venture capital, privatizations, and strategic investments.
Will regularly represents major private equity funds in their investments across Asia, with a strong focus in the tech space. Over the years, he has been actively involved in the start-up scene in Greater China and Southeast Asia, and has built a reputation for advising early-stage start-ups on their capital raisings, financings and general corporate matters.
Will’s practice also includes advising a number of Hong Kong-listed issuers and investment banks on a wide range of capital markets and M&A transactions, including privatizations, security offerings (primary and secondary), as well as private investments into public equity (PIPE) transactions.
Prior to joining Orrick, Will began his career at Slaughter and May before moving to Paul, Weiss, Rifkind, Wharton & Garrison.
In addition to being admitted as a solicitor in Hong Kong, Will is also admitted as a solicitor in New South Wales, Australia (currently non-practicing).
