Emily advises high growth technology companies in general formation, venture capital and private equity financings, and corporate governance. In addition to advising companies, Emily represents investor firms in connection with their investments in private companies.
Emily received her JD from the University of Washington, where she was a member of the Technology Law and Public Policy clinical program and served as Editor-in-Chief of the Washington Journal of Law, Technology & Arts.
Prior to joining Orrick, Emily worked as a musician. She has released several recording projects, including an LP with Refresh Records.

Dan has enjoyed considerable success in high-profile national matters with the finest law firms in the country from coast to coast, from the Delaware Court of Chancery to New York Supreme Court to the Washington Supreme Court, where he recently argued an issue of first impression under the Washington State Securities Act. Dan has active matters advising Washington’s most sophisticated legal clients with respect to securities and shareholder matters.
Dan has also been a key part of the winning Orrick team leading the defense of Credit Suisse in against an avalanche of litigation related to claims involving residential mortgage-backed securities (RMBS). Dan has acted as co-lead partner on a number of successful constitutional challenges to state and local taxes and legislation.
Jamie has comprehensive experience in capital markets transactions where he has represented issuers, underwriters and other parties in a variety of public and private offerings in the areas of equity and debt securities. He is particularly skilled at advising technology companies on their initial public offerings. Jamie has been part of some of the most well-known technology public offerings and has led or co-led offerings that have raised more than $40 billion of aggregate proceeds. In addition to his capital markets experience, Jamie advises on mergers and acquisitions, and related securities law issues. He also advises public and private companies in areas including, but not limited to compliance, SEC reporting and governance matters.

As the Director of Responsible Business Solutions at Orrick, Hayden helps clients design, build and defend their approach to responsible business. This includes non-legal strategic advice on developing strategies, addressing compliance, and preparing disclosures. Focusing on data analytics and peer benchmarking, Hayden manages a team of non-legal analysts and advisors who help businesses navigate the patchwork of existing and emerging sustainability laws and regulations, diverging sustainability reporting standards, and a dynamic policy environment.

Hayden has provided advice on building climate change programs, preparing standards-aligned sustainability reports, and defending against shareholder and activist proposals. This includes outsourced solutions for CDP and EcoVadis reporting, addressing and improving third-party sustainability ratings and rankings, and building and running sustainability governance and management committees. Hayden has also helped dozens of clients prepare sustainability reports aligned with the SASB Standards, recommendations of the TCFD, and GRI Standards.
Jason is a member of Orrick's technology companies practice group. He works with both early-stage and late-stage companies and assists with all aspects of formation and venture capital financing. He provides advice to companies seeking exit transactions such as mergers & acquisitions, initial public offerings, or SPAC transactions. Jason also advises investors planning to invest in tech companies in various industries and markets.
Prior to joining Orrick, Jason served in the U.S. Army as an Infantry officer and as a Military Intelligence officer.
Bailey focuses on capital markets transactions, including public and private offerings of debt and equity securities, and on corporate governance and securities law compliance matters.
She also maintains an active pro bono practice. She represents several high-profile international nonprofits focused on international conflict zones, refugees and war crimes. A particular area of focus for her is on Ukraine.
