Gaelyn has represented a wide range of financial institutions including fund sponsors, issuers, underwriters, placement agents, investment advisers and investors in connection with a wide range of financing transactions including collateralized loan, bond and debt obligations; synthetic collateralized debt obligations; trade receivables; various derivative instruments and structured finance products; and private equity funds and hedge funds.
Geoff's experience litigating and advising clients covers a range of substantive areas. He especially focuses on complex issues of constitutional law and civil procedure. He is passionate about partnering with public defenders and using his appellate experience to help death sentenced prisoners.
Geoff received his law degree from Yale Law School. Before joining Orrick, he clerked for Judge Stephen Reinhardt on the U.S. Court of Appeals for the Ninth Circuit and Justice Anthony M. Kennedy on the U.S. Supreme Court. Geoff previously graduated from Yale College and earned a doctoral degree from Oxford, where he studied as a Rhodes Scholar.
As both bond counsel and underwriter’s counsel, he has been responsible for
structuring and analyzing the tax aspects of many tax-exempt financings
throughout the country.
Larry has extensive experience in handling IRS
audits of bond transactions. He has represented issuers in dozens of audits all
of which have ended favorably either with the IRS issuing a “no change” letter
or by negotiating a reasonable settlement when needed. Larry also has handled a
number of submissions under the IRS’ Voluntary Closing Agreement Program (or
VCAP). The two most recent VCAP submissions represented cases of first
impression for the IRS; one involving an issue of qualified energy conservation
bonds relating to determining the amount of those bonds eligible for the federal
subsidy; the other involved the plan to convert a “new money” bond issue into an
advance refunding (which did not meet all of the requirements for a tax-exempt
advance refunding). Both cases ultimately were resolved on the original terms
proposed to the IRS.
Larry has also been instrumental in developing new
financing techniques and structures. He first devised the tax structure and
analysis for, and has served as tax counsel on, Orrick’s tax exempt tobacco
revenue securitizations. He has developed the tax structure on numerous
tax-exempt prepayments for natural gas for municipal utilities both within and
outside of California.
David guides states, counties, cities, school districts, large nonprofit organizations, underwriters, and borrowers to help them successfully finance infrastructure and capital improvement projects. His experience includes general obligation bonds, revenue bonds, letters of credit, certificates of participation, and tax and revenue anticipation notes.
David assists clients throughout the financing process, from conducting due diligence reviews and ensuring compliance with state, local, and federal laws to drafting offering documents and researching complex legal issues. He has supported financings for some of the largest issuers in California, such as the State of California, the City of Los Angeles, the City of San Diego, the Los Angeles County Metropolitan Transportation Authority, and The Metropolitan Water District of Southern California.
Prior to joining the firm, David worked on complex tax and regulatory compliance projects for public, private, and government clients, and prepared and reviewed corporate, pass-through, and individual amended tax returns, and represented clients in examinations before the IRS and California Franchise Tax Board.
Alex is based out of Orrick's San Francisco and Los Angeles offices and represents clients across California in their most critical employment law disputes. Legal 500 has recognized Alex as a "stand-out" attorney "who communicates quickly, confidently, and efficiently" and noted that she is "prepared, firm, and patient in depositions, with opposing counsel and with witnesses, and thinks very well on her feet." A thought leader in the employment law space, Alex is active on the Executive Committee for the California Lawyers Association (CLA) Labor and Employment Section and is an Editor-in-Chief of the CLA Labor & Employment Law Review. Alex also serves on the Executive Committee for the Bar Association of San Francisco (BASF) Labor and Employment Law Section.
Alex's north star is understanding a client's business objectives first, whether in litigation or counseling matters. Alex defends employers in class, collective, and representative actions alleging wage and hour violations, discrimination, and other claims under federal and state laws, including Private Attorney General Act (PAGA) claims. She also routinely defends employers in high-stakes single plaintiff cases involving contract disputes, leaves and accommodations, and allegations of discrimination, harassment, retaliation, whistleblowing, wrongful termination, and trade secrets misappropriation. In her counseling practice, Alex provides bespoke counseling advice to management, designs workplace policies and procedures, and offers creative and practical solutions to address a wide range of employment issues including new and developing areas of the law.

Winnie has addressed the Bond Attorneys' Workshop for the National Association of Bond Lawyers relating to various topics, including arbitrage and rebate, refundings, working capital financings, and 501c3 financings. Winnie earned a J.D. in 1994 from the University of California, Davis School of the Law, where she was elected to the Order of the Coif and was a member of Law Review. She received her B.A. from Pitzer College.
