Kevin’s experience includes various general obligation and revenue bond financings, including those relating to transportation, multi-family housing, higher education, public power, sewer and water, and hospitals.
He has extensive knowledge and experience with federal securities laws issues in public finance, including both initial and continuing disclosure issues, material events disclosure, public statements liability, public offerings and private placements and other matters.
Kevin is a frequent speaker at conferences, seminars and webinars given by trade and professional organizations within the public finance industry.
Prior to entering private practice, Kevin was an Assistant Corporation Counsel in the Municipal Finance Division of the New York City Law Department.
Devin’s practice focuses on representing corporations and individuals in a variety of industries in complex business litigation and disputes. Devin represents financial institutions, technology corporations, and other entities in a range of civil disputes.
Kevin has extensive experience defending securities class actions, including on behalf of high-profile clients in the technology and finance sectors. He also regularly represents clients in shareholder derivative suits, including actions alleging breaches of fiduciary duty and failures of oversight.
Kevin has handled a wide range of other complex litigation matters, including contract disputes, civil RICO actions, and cases related to corporate breakups.
Clients also turn to Kevin when they face scrutiny from government regulators. Kevin represents companies, and their officers and directors, when they receive subpoenas in connection with investigations by the SEC and other agencies. And when necessary, Kevin defends his clients in regulatory enforcement actions, including cases brought by the SEC and state Attorneys General.
Kevin devotes significant time to pro bono matters. Public Counsel’s Immigrants’ Rights Project awarded Kevin its annual Pro Bono Award in recognition of his representation of an asylum seeker in a long-running Immigration Court matter.
Kevin has authored articles on securities-related topics in numerous publications, including the Daily Journal, the National Law Journal, and Bloomberg BNA.
Kevin has experience in a wide range of subject areas, including class actions, securities, bankruptcy, and patents. He has co-authored numerous appellate briefs, including briefs to the Supreme Court of the United States at the certiorari and merits stages, on subjects including consumer protection, Indian law, criminal forfeiture, federal court jurisdiction, and foreign sovereign immunity. Kevin has also engaged in strategic planning and motions practice at the trial stage in both federal and state courts.
Prior to joining Orrick, Kevin clerked for Associate Justice Sonia Sotomayor of the Supreme Court of the United States and Circuit Judge Robert Katzmann of the United States Court of Appeals for the Second Circuit. He has a Ph.D. in history from NYU, where he concentrated on the history of the federal courts in the early national period.
Kevin has also served as bond counsel in conduit financings by the California Educational Facilities Authority (CEFA), the California Infrastructure and Economic Development Bank (I-Bank), the California Statewide Communities Development Authority (CSCDA) and several local agency issuers for the benefit of educational and cultural facilities throughout California.
Kevin also has extensive experience working as counsel to underwriters and placement agents and is routinely engaged and consulted on disclosure and structuring issues by national and regional investment banks working with public sector clients.
Prior to joining the firm, he was an associate with Wehner & Perlman where he had significant responsibility in the litigation of actions for fraud and securities fraud under California and federal securities laws, both civil and criminal.
His focus is on contractual disputes in the energy, infrastructure, and technology sectors, where his clients benefit from his experience in high-volume arbitration proceedings. In addition, Kevin is well-versed in legal disputes in the supply industry, the iron and steel industry, and investment arbitration.
In the field of arbitration, he handles proceedings under all relevant arbitration rules, including DIS, ICC, LCIA, UNCITRAL, and AAA.
Before joining Orrick, Kevin deepened his specialized knowledge in litigation and conflict resolution through by working for three other leading international law firms in Germany and internationally.
