Carl Lyon Partner

New York

He has long-standing relationships with a great number of utility clients that span many years and complex transactions, advising them on numerous taxable, tax-exempt, and tax-advantaged financings of all types for electric, gas, water and waste water projects and in restructuring and work-outs. These projects include five different nuclear plants, with financing through both the public capital market and through the U.S. Department of Energy.

Carl was one of the leaders in the development of joint action agencies among municipal utilities. He worked on legislation in 20 states to authorize their formation and testified before legislatures and legislative committees in many of these states. He drafted the first modern indenture for cooperative utilities which served as the model that is currently used by almost every generation and transmission cooperative. He worked with TVA in their exit from the Federal Financing Bank program in the 1980’s and in their financings since then. Carl worked with the major generation and transmission cooperatives that have exited the RUS program in structuring and financing their exit.

Carl has also worked with virtually every major investment banking firm and most major domestic and international banks.

Vann litigates in forums throughout the country. He has won several inter partes review proceedings before the Patent Trial and Appeal Board. He has secured favorable jury verdicts in Federal and state courts in Delaware, Florida, Maryland, and Texas. Patent infringement litigation is central to Vann’s practice, but he also has handled breach of contract, trade secret misappropriation, antitrust, tortious interference, false advertising, civil theft, and bankruptcy matters. Many of his matters involve a complex mix of claims and counterclaims across legal disciplines, where he employs his strategic judgment to navigate competing risks.

Patrick Hubert Partner

Paris

This breadth of experience has allowed him to become a leading authority in the field of antitrust, but his background helps him borrow ideas from anywhere – finding imaginative solutions for the legal and business challenges his clients face.

Patrick has long been a trailblazer in his field. For example, years before private compliance programs became commonplace, Patrick persuaded his clients to dedicate resources to compliance policies, thus being one of the first to encourage proactive rather than strictly reactive actions. In France, he was one of the first to launch antitrust recovery claims and to work on a private standalone claim, without any precedent from the regulator. Acting on the plaintiff side, he obtained what was at that time the highest fine ever imposed on a dominant company (350 M€).

He is currently handling private claims totaling more than 5 billion euro, advising global tech companies and other multinationals in French and EU competition matters, including merger control filings, cartel and abuse of dominance investigations, state aid and compliance work, as well as private damages actions before the French courts. In addition, he serves as vice chairman of the competition commission of the International Chamber of Commerce and chairs its merger control working party.
