He regularly represents project developers and investors in energy project finance transactions, including tax equity and debt financing, M&A, joint ventures, project development and a broad range of corporate matters. His prior experience includes international and multijurisdictional financing and development of energy projects in Mexico and across Africa, including Equatorial Guinea, South Africa, Nigeria, and Egypt.
Andrew concentrates his practice on corporate governance, securities law compliance and various capital markets transactions, including initial public offerings, notes offerings, preferred and follow-on offerings, exchange offers, tender offers, redemptions and consent solicitations. He also has significant experience in transactions involving special purpose acquisition companies including initial public offerings and de-SPAC transactions.
Andrew concentrates his practice on matters pertaining to private equity and alternative investment funds, representing both investors and fund sponsors.
On the investor side, he primarily represents institutional investors, advising their participation in funds with a variety of focuses including venture capital, buy-out, real estate, and mezzanine opportunities. He works to ensure fund arrangements not only advance clients' economic objectives, but are responsive to the complex fiduciary and regulatory issues institutional investors must manage on behalf of their stakeholders.
On the sponsor side, Andrew handles various aspects of fund formation relating to the internal structuring of sponsor and management entities, drafting of fund documents, and negotiations with investors.
In addition, Andrew has experience handling a range of issues in M&A, real estate, oil & gas, and pipeline infrastructure transactions.
Andy combines his legal expertise in numerous areas of law covered by state Attorneys General, an understanding of how state AG offices operate, and vast knowledge of legal and regulatory issues facing his clients. This substantive and comprehensive legal approach is crucial to effectively representing clients before state Attorneys General. Andy also has substantial experience drafting and enacting complex civil liability reforms before state legislatures to successfully address client goals.
Andy’s main practice focuses on advising Fortune 500 companies before state Attorneys General in the areas of antitrust, consumer protection, False Claims Act, environmental law, and cybersecurity and data privacy. Andy, in collaboration with a team of attorneys, successfully navigated a client through antitrust regulatory review by state Attorneys General in one of the nation’s largest mergers of two major telecommunication companies. Andy also worked with a team of lawyers representing a large corporation involving the multistate opioids litigation brought by state Attorneys General.
Andy gained valuable experience serving as Deputy Attorney General for the State of Wisconsin where he was the second in command of the 700-plus state agency. In his role as Chief Deputy Attorney General, Andy oversaw the day-to-day operations at the Wisconsin Department of Justice (DOJ); directed the State’s litigation strategy; negotiated, reviewed, and approved all settlements; drafted and reviewed attorney general opinions; managed the agency’s budget; oversaw civil and criminal investigations handled by DOJ; and managed DOJ’s legislative agenda.
Andy played college hockey and remains active by running, cross country skiing, and playing golf. On the weekends, Andy and his wife enjoy watching their kids’ sporting events, including soccer, baseball, gymnastics, and track. In his rare spare time, Andy reads history books.
Andrea has extensive experience in cases involving anti-money laundering and export sanctions, financial crimes, corporate crimes, bankruptcy offenses, tax crimes, corruption and bribery in both the public and private sectors, environmental crimes, occupational health and safety offenses, intellectual property crimes, data protection and privacy crimes/cybercrimes.
Before joining Orrick, Andrea worked in the Milan office of Clifford Chance for eight years and, in 2017, he spent six months in the London office working both on UK and transnational matters.
Daniela's practice covers cross-border corporate transactions and the so-called “special situations”, which include investments in distressed assets (non-performing loans, debt and/or equity in listed/unlisted distressed companies), buy-outs from insolvency proceedings and bankruptcy-related litigation. In recent years, she has assisted banks, Italian and foreign investors and debtors in complex deals of corporate restructurings relating to the financial indebtedness and concordato proceedings.
Prior to joining Orrick, Daniela was a member of Studio Legale Tributario in Milan, a law firm Associated with Ernst & Young International.
