Kyle represents public and private companies and private equity funds in various domestic and cross-border mergers and acquisitions transactions on both the buy-side and sell-side. Kyle is also experienced in advising clients on representation and warranty insurance and venture financings. As part of Orrick’s fintech and artificial intelligence working group, Kyle analyzes and creates thought leadership on novel legal issues related to crypto, web 3.0 and artificial intelligence.
Kyle is passionate about Diversity, Equity & Inclusion. He serves as a leader on Orrick’s New York Diversity, Equity & Inclusion Committee and Orrick’s Asian, Native Hawaiian and Pacific Islander Inclusion Network. He is also a Vice Chair of the Corporate Law Committee of the Asian American Bar Association of New York.
Jasmine’s litigation experience includes assisting with patent licensing negotiations, assisting with trial and witness preparation, drafting motions, petitions, oppositions, and replies, and preparing expert reports.
Jasmine has experience with a wide range of technologies including telecommunications, semiconductors, client/server systems, computer software, electronic commerce, cloud computing, virtual and augmented reality, streaming media, Internet search engines, search advertising, electronic devices, medical devices, optics and imaging.
Prior to joining Orrick, Jasmine externed at the United States Court of Appeals for the Federal Circuit. Jasmine was also a patent agent specializing in patent prosecution before the United States Patent and Trademark Office, and she worked with foreign attorneys to prosecute patents before foreign patent offices. She has advised clients on new patent applications and prosecution strategies and managed clients’ domestic and global patent portfolios.
Wenlong represents sponsors, developers, lenders, equity investors and other financial institutions in financings, acquisitions and development of various energy and infrastructure assets, including renewable energy, power storage, digital infrastructure, among others.
André advises companies of all stages, pre-IPO startups, scaleups, unicorns and international corporations on a wide range of matters, having handled everything from day-to-day practical advice tailored to his clients’ needs, to complex multi-jurisdictional transactions from strategic planning through post-merger integration. Having long-standing experience in negotiating with works councils and unions in restructuring measures of all kind, a special focus of André's practice is on restructurings and headcount reductions.
He has advised on the employment law aspects in over 300 M&A transactions and financing rounds across various industries. Transactional advice includes employment law advice in complex, international technology transactions, M&A projects as well as private equity and venture capital investments, from due diligence to post-closing integration.
André has thorough knowledge of and a genuine passion for the tech industry. Over the last years, André has become the go-to-advisor of several Bay Area tech-companies, leaders in their market and high-growth tech companies. Most recently, he has advised leading global technology companies such as GoPro, Pinterest, GitHub, Nvidia, Sabre, Snap and Splunk on various employment matters.
