Mike has represented clients in an array of matters, including employment, breach of contract and IP disputes, consumer protection class actions, and Securities and Exchange Commission (SEC) and Department of Justice (DOJ) investigations. His experience also includes advising software and financial services companies on privacy and regulatory issues, including with respect to the EU General Data Protection Regulation (GDPR), the Gramm-Leach-Bliley Act (GLBA) and the California Consumer Privacy Act (CCPA). In helping clients ensure regulatory compliance, Mike also prepares data privacy and cybersecurity policies and procedures.
Prior to joining Orrick, Mike was an associate at Buckley LLP’s Chicago Office, and practiced at two law firms in New York City. He is a Certified Information Privacy Professional (CIPP/US).

Rachel represents clients at all stages of their life cycles and in a variety of technology-driven industries, including SaaS, artificial intelligence, gaming, entertainment, and media. Rachel has experience drafting commercial, licensing and other intellectual property and technology agreements. She also assists clients with intellectual property issues in connection with mergers and acquisitions.
Prior to joining Orrick, Rachel spent three years working on the commercial and product counseling teams at Dropbox, Inc., and two years with the Department of Justice Anti-trust division. She was also an active member of the ChIPs Network focusing on advancing and connecting women in technology, law and policy while she was in law school.

He has extensive experience in a broad range of corporate and transactional matters, advising companies from formation to exit on formation, governance, and financing matters, and private funds and institutional investors on venture capital, growth equity and private equity investments. Andy works closely with clients to provide strategic insights and outside general counsel services, advising clients on day-to-day governance, equity compensation and general commercial matters.
Andy also has extensive experience advising sponsors of private investment funds on their formation, regulatory compliance, and fundraising activities, as well as institutional investors in connection with various aspects of their investment programs, including investments in private investment funds, co-investments and complex secondaries transactions.

In addition, he regularly represents underwriters and purchasers of both public and privately placed debt, regularly serving as underwriters’ counsel and bank counsel.
Complementary to his core practice, Marcus is also able to provide his clients guidance on derivative transactions and liquidity facilities, election law matters, and municipal and school law issues.
Before joining Orrick, Marcus clerked for the Colorado Court of Appeals and subsequently practiced as an associate and then a partner with several international law firms.
